Unitprice:perMetricTonFOBS&TxxPort,xxProvinceTotalvalue:USD110,Impt:.:relevantcostbearerBuyerorSellerQuestion:CIF&CNF&FOB交/提貨時間合同項下全部貨物將于2009年3月底前全部、一次性由賣方交付/由買方派船裝運離港。合同項下全部貨物包裝完畢，賣方應(yīng)及時以書面方式通知買方貨物備妥。買方應(yīng)在接到賣方貨物備妥通知之日起15天內(nèi)，派船到裝運港將全部貨物裝船運走。超過15天后產(chǎn)生的貨物在港口的堆存費用將由買方承擔(dān)；如買方在貨物備妥通知發(fā)出之日起30天內(nèi)，未能派船將貨物運走，由此產(chǎn)生的貨物質(zhì)量問題，賣方將不負責(zé)任；超過45天，賣方有權(quán)選擇將此貨物處理，由此產(chǎn)生的貨物處理費用將由買方承擔(dān)。

CLAUSE6.Deliverytimes

.裝運船只由買方安排,并自行承擔(dān)相關(guān)費用及風(fēng)險。

.裝貨港船舶代理由賣方推薦，買方有權(quán)指定并承擔(dān)相應(yīng)費用。

.在同賣方協(xié)商后，買方須于裝船期首日前15天宣布一個展期為5天的裝船期。

.買方須于裝船期首日前5個工作日指定受載船舶，買方可以在征得賣方同意后，在符合指定的裝船期內(nèi)有權(quán)更換受載船舶；買方須于裝船期首日前3個工作日天向賣方提供指定船舶的規(guī)范。

.指定的船舶規(guī)范必須達到賣方的接受要求，賣方應(yīng)在買方提供船舶規(guī)范后12個工作小時內(nèi)確認是否接受。

CLAUSE10.LAY/CAN&Vesselnomination

.ShipmentstobeperformedbyageneralcargovesselwhichisnominatedbyBuyerathisownriskandcost.

.Vessel’sagentatloadingporttobeproposedbySeller,Buyerhasthefinalauthoritytonominateathisowncost.

.Buyershalldeclarea5dayspreadLAYCANatleast15dayspriortothe1stLAYCANdateafterconsultingwithSeller.

.ThevesselshallbenominatedbyBuyeratleast5workingdaysbeforefirstLAY/CANdate.AftergettingthepermissionofSeller,BuyershallhavetheoptiontosubstitutetheperformingvesselwithinthenominatedLAYCANPeriod.BuyershalladviseSellerthefullparticularsofthenominatedvessel3workingdaysbeforethefirstLAY/CANdate.

裝船重量由中華人民共和國出入境檢驗檢疫局（以下簡稱為“CIQ”）檢驗確定，相關(guān)費用由賣方承擔(dān)。提單上面顯示的重量應(yīng)以CIQ給出的檢驗結(jié)果為準(zhǔn)。裝船袋數(shù)以中國外輪理貨公司提供的數(shù)據(jù)為準(zhǔn)，此結(jié)果是終局性的。

CLAUSE11.Inspectionofshippingquantityandweight

.Exacttonnage/weightloadedonboardthevesselshallbedeterminedandexecutedbytheEntry-ExitInspectionandQuarantineBureauof(hereinaftercalled“CIQ”)atSeller’scost..GrossweightonB/LasperthesurveyresultsgivenbyCIQ..NumberofbagsloadedonboardthevesseltobegivenbyChinaOceanShippingTallyCompanyandshallbetakenasfinal. 賣方應(yīng)在每船貨物中均勻制取樣品，并將它們分成3份，每份8公斤。3份樣品應(yīng)該在裝運港貨物生產(chǎn)過程中制成。每一樣品應(yīng)由賣方以樣品桶或塑料袋密封保存并貼上注明裝船日期及船名的標(biāo)簽，保存期限為裝船期后至少45天，以備查。

CLAUSE12.Samplingatloadingport

.不論船艙是否清潔以及適合裝運袋裝水泥，在裝貨前，雙方均須同意指定裝運港的CIQ對船艙進行檢驗；

.如果檢驗不合格，將立即通知船長、代理及賣方，船長必須立即安排船舶至指定錨地重新清艙直到合格，備妥通知書遞交無效,應(yīng)重新遞交.

CLAUSE13.HoldsCleanlinessInspection

.CIQattheloadingportshallbemutuallyappointedbySellerandBuyertoinspectthecleanlinessofvesselholdspriortoloadingcommencement,whethervesselholdsarecleananddryineveryrespectandsuitableforloadingbulkcementornot.

.Ifthevesselholdsfailedtheinitialcleanlinessinspection,theMaster,AgentandSelleraretobenotifiedimmediatelyandtheMastershallarrangetocleantheholdsatanchorageasrequestedtoCIQ’Ssatisfaction,andtheNORshallbere-tenderedunlesspasstheholdsinspection. CLAUSE14.Demurrageanddispatchmoney

貨到目的港后，如買方經(jīng)檢驗發(fā)現(xiàn)貨物品質(zhì)與合同規(guī)格不符，買方須立即通知賣方。賣方應(yīng)將仲裁樣品送交xxSGS。XxSGS將作為獨立的實驗室對樣品進行檢驗，且檢驗結(jié)果對于買賣雙方是終局性的。若檢驗結(jié)果與本購貨合同所述相符，則送樣及檢驗費用由買方承擔(dān)。若檢驗結(jié)果與本購貨合同所述不符合，則送樣及檢驗費用由賣方承擔(dān)。

CLAUSE15.Qualitydiscrepancy

IncasethequalityisfoundbyBuyerisnotinconformityasperstipulatedinthecontractattheportofdestination,BuyershallthennotifythesametotheSellerimmediately.SellershallsendtherefereesampletoSGSQingdaooffice.SGSwillanalyzethesampleastheindependentlaboratoryandthetestresultshallbetakenasfinalandbindinguponbothparties.IncasethatthetestresultsareinconformityasperstipulatedintheContract,thecostofdispatchingthesampleandtestingfeesshallbeatBuyer’saccount.IncasethatthetestresultsarenotinconformityasperstipulatedintheContract,,thecostshallbeatSeller’saccount.第十六條不可抗力

.如有不可抗力情形發(fā)生，如火災(zāi)、爆炸、地震、暴風(fēng)、雨雪、洪災(zāi)、干旱或禁運、罷工、戰(zhàn)爭、騷亂、叛亂、顛覆、敵對行為、海關(guān)禁令、政府行為等，賣方對延遲交貨或不交貨不負責(zé)任，但應(yīng)該及時以郵件或傳真方式通知買方。.如果買方要求，賣方應(yīng)該以特快專遞的方式，向買方提供由中國國際貿(mào)易促進委員會/或出口商所在地的省級國際商會組織出具的不可抗力證明。上述證明應(yīng)該在買方要求之后的30個工作日之內(nèi)出具。.上述不可抗力的規(guī)定，也適用于買方。.合同雙方應(yīng)該在該不可抗力情形結(jié)束之后30天內(nèi)協(xié)商決定合同是否應(yīng)該解除/或部分解除或繼續(xù)履行/或部分履行。CLAUSE16.ForceMajeure

.IncaseofForceMajeurehappens,suchasfire,explosion,earthquake,storm,snowstorm,flood,drought,embargo,strike,warorhostilities,riot,insurrection,hostilities,sabotage,embargo,actofgovernmentalregulations,Sellershallnotbeheldresponsibleforlatedeliveryornon-deliveryoftheCARGO,butshallnotifytheBuyerbyemailorfaxintime.

.TheSellershalldelivertotheBuyerbyregisteredmail,ifsorequestedbytheBuyer,acertificateissuedbytheChinaCouncilforthePromotionofInternationalTradeortheprovincialChamberofCommercewheretheSellerlocatedat.Suchcertificateshallbeissuedwithin30workingdaysuponBuyer’srequest.

.Theaforementionedforcemajeureshallbealsoapplicabletothebuyer.

.ThetwopartiesoftheSellerandtheBuyershalldeterminewhetherthecontractshallbetotallyterminatedorpartiallyterminatedorcontinuedorpartiallycontinuedwithin30daysafterthepresentforcemajeureeventfinished.

.發(fā)生仲裁情況時，雙方同意將仲裁提交中國國際經(jīng)濟貿(mào)易仲裁委員會/或其xx分會，按照申請仲裁時該會現(xiàn)行有效的仲裁規(guī)則進行仲裁。仲裁裁決是終局的，對雙方均有約束力.仲裁費用由敗訴方負擔(dān)。

CLAUSE17.Arbitration
