北京XXX認(rèn)證有限公司RMB甲方初次認(rèn)證費用應(yīng)在本合同簽訂后10個工作日內(nèi)一次性支付給乙方。2．PartyAshallpayPartyBprimarycertificationfeesinlumpsumwithintenworkingdaysafterthesignatureofthisContract本報價單內(nèi)各項審查工作量根據(jù)甲方所提供的資料而定。審查時，若審查員發(fā)現(xiàn)實際情況與甲方所提供的資料有所出入，須經(jīng)雙方確認(rèn)后調(diào)整所需工作量及費用。3.TheamountofworkofreviewsstatedinthequotationshallbedeterminedbasedonthedataprovidedbyPartyA.IncaseofanyinconsistencybetweentheactualsituationsandthedataprovidedbyPartyAasfoundbythereviewpersonnelduringthereviewprocess,theamountofworkandfeesshallbeadjustedbybothpartiesafterconfirmation.本次認(rèn)證不通過，需要對整改后的不符合進(jìn)行驗證時，乙方按照實際發(fā)生工作量收取，由此產(chǎn)生的相關(guān)費用由甲方支出。WherePartyAfailstopasscertificationandthenon-conformingitemsshouldbeverifiedafterrectification,PartyBshallchargefeesbasedontheactualamountofworkandtherelevantfeesincurredbyitshallbepaidbyPartyA.認(rèn)證變更費用：按照認(rèn)證變更收費項目及實際發(fā)生審查工作量收取。甲方應(yīng)在認(rèn)證變更審查結(jié)束后15個工作日內(nèi)，根據(jù)乙方出具的費用結(jié)算清單將認(rèn)證變更費一次性支付給乙方。5.Feesforcertificationchange:PartyBshallchargethefeesbasedonthespecificitemandtheactualamountofwork.PartyAshall,withinfifteenworkingdaysafterthereviewofcertificationchange,payPartyBthefeesforcertificationchangeinlumpsumaccordingtothelistoffeesissuedbyPartyB.年度監(jiān)督審查認(rèn)證費：按照監(jiān)督審查收費項目及實際發(fā)生審查工作量收取。甲方應(yīng)在年度監(jiān)督審查結(jié)束后15個工作日內(nèi)，根據(jù)乙方出具的費用結(jié)算清單將年度監(jiān)督審查費和當(dāng)年的年金一次性支付給乙方。Feesforannualcertificationsupervisionandreview:PartyBshallchargefeesbasedonthespecificitemandamountofwork.PartyAshall,withinfifteenworkingdaysafterthereviewofannualcertificationsupervisionandreview,payPartyBthefeesforsupervisionandreviewandannuityofthecurrentyearinlumpsumaccordingtothelistoffeesissuedbyPartyB.由于甲乙任何一方原因造成審查工作量或費用的增加，其增加部分應(yīng)由責(zé)任方承擔(dān)。7.IncaseofadditionofamountofworkorreviewfeesduetothecauseofeitherPartyAor共14頁第4 頁CFNR-SQ-02-05 北京XXX認(rèn)證有限公司PartyB,thefeesfortheaddedpartsshallbepaidbytheresponsibleparty.如甲方中途提出終止審查，若非乙方的責(zé)任，甲方仍應(yīng)支付當(dāng)年全部認(rèn)證費或年度監(jiān)督審查認(rèn)證費。8.WherereviewisterminatedinthemiddlewayduetothecauseotherthanPartyB,PartyAshallpaythetotalcertificationfeesofthecurrentyearorthefeesforannualcertificationsupervisionandreview.如果甲方未能及時足額向乙方交納上述費用,則乙方有權(quán)不對甲方開展認(rèn)證審查活動，待甲方交齊費用后再行開展，審查時間相應(yīng)順延。如果因為甲方未能及時繳納年度監(jiān)督審查認(rèn)證費（含審查費和年金），導(dǎo)致監(jiān)督審查不能如期進(jìn)行，乙方有權(quán)根據(jù)認(rèn)證實施規(guī)則暫停或者撤銷甲方的認(rèn)證資格。ShouldPartyAfailtopayoffthefeesabovetoPartyBintime,PartyBcansuspendthecertificationreviewuntilPartyApaysoffallthefeesandundersuchcircumstances,thereviewshouldbeextendedaccordingly.ProvidedthatthecertificationsupervisionandreviewcannotbeconductedasscheduledasPartyAfailstopaythefeesforannualcertificationsupervisionandreviewfees(includingreviewfeesandannuity)intime, PartyBshallsuspendorcancelPartyA ’certificationqualificationaccordingtotheRules.現(xiàn)場審查，乙方應(yīng)依據(jù)甲方希望的審查日期優(yōu)先安排,但實際審查日期由雙方協(xié)商議定。甲方如需更改希望正式審查的日期,請于30個工作日之前通知乙方。10.PartyBshallarrangesitereviewbasedonthedateofreviewpreferredbyPartyAbuttheactualdateshallbedeterminedbybothpartiesvianegotiation.Incaseofchangingthedateofformalreview,PartyAshallnotifyPartyBthirtyworkingdayspriortothereview.現(xiàn)場審查，審查所發(fā)生的食宿、交通費用按實際支出由甲方承擔(dān)。TheboardandaccommodationfeesandtransportfeesforsitereviewshallbepaidbyPartyA第六條 甲方責(zé)任和權(quán)利ArticleⅥ PartyA’sRightsandResponsibilities嚴(yán)格遵守國務(wù)院《認(rèn)證認(rèn)可條例》和國家有關(guān)認(rèn)證認(rèn)可行政規(guī)章制度的規(guī)定。1.StrictlyabidingbytheRegulationsofthepeople'sRepublicofChinaoncertificationandAccreditationoftheStateCouncilandrelevantnationaladministrativerulesandsystemswithregardtocertificationandaccreditation;共14頁第5 頁CFNR-SQ-02-05 北京XXX認(rèn)證有限公司嚴(yán)格遵守認(rèn)證實施規(guī)則的有關(guān)規(guī)定。StrictlyabidingbytherelevantregulationsoftheRules;嚴(yán)格遵守雙方簽訂的《保密協(xié)議》中的相關(guān)規(guī)定。3.Strictlyabidingbytherelevantrequirementsof ConfidentialityAgreementsignedbybothparties;嚴(yán)格遵守雙方簽訂的《認(rèn)證證書和認(rèn)證標(biāo)志使用協(xié)議》中的相關(guān)規(guī)定。4.StrictlyabidingbytherelevantrequirementsofCertificateandMarkUsingAgreementsignedbybothparties;按認(rèn)證實施規(guī)則要求提供真實充分的文件及其他相關(guān)資料。5.ProvidingauthenticandsufficientdocumentsandotherrelevantdataaccordingtotherequirementsoftheRules;按合同的約定及時向乙方支付認(rèn)證費或年度監(jiān)督審查認(rèn)證費。6.PayingcertificationfeesorfeesforannualcertificationsupervisionandreviewaccordingtotheprovisionsofthisContractonatimelybasis;在獲證后維持產(chǎn)品持續(xù)符合認(rèn)證要求，包括當(dāng)收到乙方的認(rèn)證要求變更通知時應(yīng)做出適當(dāng)變更。Makingproductsalwayssatisfythecertificationrequirementsuponreceivingcertificate,includingproperchangewhenreceivingthenoticeofchangeofcertificationrequirementsfromPartyB;在證書有效期內(nèi)，接受并配合乙方實施監(jiān)督審查，當(dāng)發(fā)生認(rèn)證實施規(guī)則規(guī)定的重大變更或問題時及時通知乙方。當(dāng)發(fā)生可能影響滿足認(rèn)證要求的能力的如下變更時，也應(yīng)及時通知乙方：AcceptingandcoordinatingPartyB’ssupervisionandreviewduringthevalidityofcertificateandnotifyingPartyBofanycriticalchangeorproblemsspecifiedintheRulesonatimelybasis;notifyingPartyBofthefollowingchangesthatmayaffectthecapacityrequiredbycertification;法律、商業(yè)、組織的狀況或所有權(quán)的變更 ;Conditionsoflaws,businessandorganizationorchangeofownership;組織和管理層的變更(如:主要的管理、決策或技術(shù)人員變更);Changeoforganizationandmanagementlevel(suchaschangeofmajormanagers,decision-makersortechnicians);共14頁第6 北京XXX認(rèn)證有限公司聯(lián)系人及聯(lián)系地址變更。Changeofcontactpersonandmailingaddress.按合同約定及時獲得認(rèn)證證書。ObtainingcertificatetimelybasedontheprovisionsofthisContract;宣傳認(rèn)證結(jié)果時不應(yīng)損害乙方的聲譽(yù)。NeverimpairingPartyB’sreputationswhenpublicizingthecertificationresults;在乙方要求時，向乙方提供獲證產(chǎn)品、服務(wù)相關(guān)的投訴記錄和依據(jù)相關(guān)標(biāo)準(zhǔn)或其他規(guī)范性文件要求所采取的糾正措施的記錄。甲方在收到投訴時，應(yīng)確定不符合產(chǎn)生的原因，包括甲方的產(chǎn)品中存在的任何潛在(傾向性的)因素，并在適當(dāng)時通告乙方。11.ProvidingPartyBwiththecomplaintrecordsrelatedtothecertifiedproductsandserviceandrecordsofcorrectivemeasurestakenaccordingtorelevantstandardsorothernormativedocuments,ifrequiredbyPartyB;PartyAshall,uponreceivingcomplaint,determinethecausewhysuchnon-conformancehappens,includinganypotential(tendentious)factorsexistinginPartyA’sproductsandnotifyPartyBinpropertime.當(dāng)法律法規(guī)或認(rèn)證相關(guān)標(biāo)準(zhǔn)有要求時，應(yīng)接受相關(guān)機(jī)構(gòu)的見證審查，向特定機(jī)構(gòu)提交信息和報告。Receivingthewitnessreviewofrelevantorganizationsandprovidinginformationandreporttothespecialorganizationsifrequiredaccordingtolaws,regulationsorrelevantcertificationrequirements;若認(rèn)證證書被乙方撤銷，應(yīng)將原證書與副本及時交回乙方。13.ReturningtheoriginalandduplicateofcertificatetoPartyBintimeoncethecertificateiswithdrawnbyPartyB;甲方有權(quán)正確使用認(rèn)證證書和認(rèn)證標(biāo)志，宣傳獲準(zhǔn)認(rèn)證的事實。14.PartyAshallhavetherightstousecertificateandmarkandpublicizethefactthathehaspassedcertification;甲方享有由于獲得認(rèn)證以及使用認(rèn)證標(biāo)志取得的經(jīng)濟(jì)利益。15.PartyAshallowntheeconomicbenefitsobtainedbycertificationandusingcertificationmark;甲方對乙方關(guān)于認(rèn)證的暫停、注銷和撤銷決定有權(quán)提出申訴，有權(quán)對不規(guī)范的認(rèn)證行為提出投訴。共14頁第7 乙方責(zé)任和權(quán)利ArticleⅦPartyB’sRightsandResponsibilities嚴(yán)格遵守國務(wù)院《認(rèn)證認(rèn)可條例》和國家有關(guān)認(rèn)證認(rèn)可行政規(guī)章制度的規(guī)定。1．StrictlyabidingbytheRegulationsofthepeople'sRepublicofChinaoncertificationandAccreditationoftheStateCouncilandrelevantnationaladministrativerulesandsystemswithregardtocertificationandaccreditation;嚴(yán)格遵守國家有關(guān)法律法規(guī)、標(biāo)準(zhǔn)，客觀、公正地為甲方提供認(rèn)證服務(wù)。2.ProvidingcertificationservicetoPartyAonanobjectiveandfairbasisinstrictaccordancewithrelevantnationallawsandregulations;嚴(yán)格遵守雙方簽訂的《保密協(xié)議》中的相關(guān)規(guī)定。3.Strictlyabidingbytherelevantrequirementsof ConfidentialityAgreementsignedbybothparties;嚴(yán)格遵守雙方簽訂的《認(rèn)證證書和認(rèn)證標(biāo)志使用協(xié)議》中的相關(guān)規(guī)定。4.StrictlyabidingbytherelevantrequirementsofCertificateandMarkUsingAgreementsignedbybothparties;應(yīng)甲方要求為其提供資格證明文件及有關(guān)公開性文件。ProvidingqualificationcertificatesandrelevantpublicdocumentstoPartyAifrequired;在簽訂合同后委派有相應(yīng)資格人員組成審查組實施審查。6.DesignatingrelevantpersonnelthathavethecorrespondingqualificationstocarryoutreviewbyformingreviewteamafterthesignatureofthisContract;乙方做出甲方通過認(rèn)證的決定后，應(yīng)及時向甲方頒發(fā)認(rèn)證證書并公布甲方獲證信息。7.IssuingcertificateanddeclaringtheinformationthatPartyAhasobtainedthecertificateafterdecidingthatPartyApassesthecertification;甲方獲證后定期對其認(rèn)證相關(guān)內(nèi)容實施監(jiān)督審查和按期實施再認(rèn)證。8.SupervisingandreviewingtherelevantcertificationcontentsofPartyAregularlyafterPartyAobtainsthecertificateandconductingre-certificationasscheduled;當(dāng)認(rèn)證要求發(fā)生變更時應(yīng)及時通知甲方。共14頁第8 北京XXX認(rèn)證有限公司NotifyingPartyAofthechangeregardingcertificationrequirementsonatimelybasis;做出暫停、撤銷認(rèn)證證書的決定時，必須書面通知甲方，說明理由。10.NotifyingPartyAintimeandwritingtoexplainthecauseifsuspendingorwithdrawingcertificate;在法律法規(guī)許可的情況下滿足甲方關(guān)于可公開信息的特殊要求。11.SatisfyingPartyA ’sspecialrequirementsonthepubliclydisclinfosedrmationonthebasisofmeetinglawsandregulations;12.通過審查證明不滿足認(rèn)證要求的，乙方有權(quán)不頒發(fā)認(rèn)證證書 /不允許使用認(rèn)證標(biāo)志。12.Notissuingcertificate/allowingtheuseofcertificationmarkifPartyAfailstosatisfythecertificationrequirementsthroughreview;如甲方產(chǎn)品發(fā)生重大變化或異常情況時，乙方有權(quán)增加監(jiān)督審核頻次。13.AddingthesupervisionandauditfrequenciesifmajorchangesorabnormalityhappenstoPartyA’sproducts;如甲方在獲準(zhǔn)認(rèn)證后不按期支付年金和監(jiān)督審查費用，乙方有權(quán)暫停、撤銷甲方的認(rèn)證證書，并要求甲方停止使用并交還相關(guān)認(rèn)證證書和認(rèn)證標(biāo)志。SuspendingorwithdrawingPartyA’scertificateandrequestingPartyAtostopusingandreturncertificateandcertificationmarkifPartyAfailstopayannuityandsupervisionandreviewfeesasscheduledafterobtainingcertificate;乙方有權(quán)公布甲方獲準(zhǔn)、暫停、撤銷和注銷認(rèn)證狀態(tài)信息。IssuingtheinformationthatPartyAhaspassedcertificationorthecertificationhasbeensuspended,withdrawnorcancelled.第八條 風(fēng)險ArticleⅧRisks1.甲方應(yīng)承擔(dān)因未能達(dá)到認(rèn)證要求而不能取得認(rèn)證注冊資格的風(fēng)險。PartyAshallbeartherisksofbeingunabletopasscertificationduetothefailureinreachingcertificationrequirements.2.甲方應(yīng)承擔(dān)因不能持續(xù)滿足認(rèn)證要求而被暫停或被撤銷認(rèn)證注冊資格的風(fēng)險。PartyAshallbeartherisksofsuspendingorwithdrawingcertificationifdissatisfyingcertificationrequirementsconstantly;3.甲方應(yīng)承擔(dān)因在合同期內(nèi)隱瞞重要信息、提供虛假信息而導(dǎo)致被撤銷認(rèn)證證書的風(fēng)險。共14頁第9 北京XXX認(rèn)證有限公司PartyAshallbeartherisksofwithdrawingcertificateifconcealingmajorinformationorprovidingfakeinformationwithinthetermsofthisContract;4.乙方應(yīng)承擔(dān)因?qū)彶榉椒▽?dǎo)致不能發(fā)現(xiàn)甲方產(chǎn)品缺陷的風(fēng)險。PartyBshallbeartherisksofbeingunabletodiscoverthedefectsofPartyAtoreviewmethod;5.乙方應(yīng)承擔(dān)因甲方獲證后出現(xiàn)重大責(zé)任事故， 而被認(rèn)可機(jī)構(gòu)暫停、撤銷認(rèn)可資格的風(fēng)險。PartyBshallbeartherisksofcertificationqualificationsuspendedorwithdrawnbytheChinaNationalAccreditationServiceforConformityAssessmentaftermajorresponsibilityaccidenthappenstoPartyAafterobtainingcertificate.第九條 違約責(zé)任ArticleⅨ ViolationLiabilities1.如一方未經(jīng)另一方正式同意而擅自不履行本合同以致認(rèn)證審查不能如期進(jìn)行時， 則違約方應(yīng)當(dāng)向?qū)Ψ街Ц断喈?dāng)于認(rèn)證費或年度監(jiān)督審查認(rèn)證費 15%的費用作為違約金。逾期超過 15天的，守約方有權(quán)單方解除本合同，違約方除應(yīng)支付上述逾期違約金外，還應(yīng)支付守約方因此造成的全部損失。IfeitherpartyrefusestoperformthisContractarbitrarilywithoutobtainingtheformalagreementoftheotherparty,makingitimpossibletoconductcertificationreviewasscheduled,thedefaultpartyshallpaytheotherpartyliquidateddamageswhichshallbe15%ofthecertificationfeesorthefeesforannualcertificationsupervisionandreview.If,however,thedefaultpartyrefusestoperformthisContractforfifteendaysoverdue,theobservantpartycanterminatethisContractunilaterally.Thedefaultpartyshall,besidespayingtheaforesaidliquidateddamages,compensateallthelossessufferedbytheobservantpartybyit.2.如果違約方未能按時向另一方支付本合同規(guī)定的任何款項， 則每逾期一日，違約方應(yīng)當(dāng)按照逾期支付款項的萬分之五向另一方支付違約金。 當(dāng)事人未行使或遲延行使其在本合同項下的任何權(quán)利或救濟(jì)不構(gòu)成棄權(quán)；當(dāng)事人部分行使權(quán)利或救濟(jì)亦不得阻礙其行使其他權(quán)利或救濟(jì)。Theparty’swaiverofviolationbehaviorbecomesvalidonceitisproposedinwriting.ThepartyconcerneddoesnotmeanquittingtherightiffailingtoexerciseordelaysinexercisinganyrightorremedialmeasureunderthisContract.Thepartyconcernedshallnotbehinderedfromexercisingotherrightsorremedialmeasuresifexercisingrightsorremedialmeasurespartially.4.當(dāng)發(fā)生連帶責(zé)任賠償時，乙方不承擔(dān)超出認(rèn)證審查費或該年的監(jiān)督審查費以外的任何損失賠償，若該連帶責(zé)任是由于甲方原因?qū)е?，乙方可在承?dān)責(zé)任后向甲方追索全部損失。Incaseofjointresponsibilitycompensation,PartyBshallbearnoanydamagecompensationthatexceedsthefeesforcertificationrevieworthefeesforannualcertificationsupervisionandreview.ShouldthejointliabilitybecausedbyPartyA,PartyBcan,afterbearingtheliabilities,claimallthelossesagainstPartyA.5.甲方應(yīng)承擔(dān)因證書誤用或認(rèn)證標(biāo)志、 認(rèn)可標(biāo)志（適用時）使用不當(dāng)而造成的乙方全部損失。5.PartyAshallbearallthelosssufferedbyPartyBifPartyAmisusesorimproperlyusescertificationmarkoraccreditationmark(ifapplicable).6.甲方因違反認(rèn)證所依據(jù)的相關(guān)法律法規(guī)及規(guī)范 （見甲方的責(zé)任和義務(wù)）而導(dǎo)致的后果由甲方自行承擔(dān)，甲方因違反《保密協(xié)議》 、《認(rèn)證證書和認(rèn)證標(biāo)志使用協(xié)議》中相關(guān)規(guī)定導(dǎo)致乙方利益受損的，乙方有權(quán)依照上述協(xié)議中的相關(guān)約定追究甲方的責(zé)任。TheconsequencescausedbyPartyA’sviolationofrelevantlawsandregulations(seePartyA’sresponsibilitiesandobligations)basedonwhich,certificationismade,shallbebornebyPartyA.IfPartyBsuffersinterestslossafterPartyAgoesagainstrelevantregulationsofConfidentialityAgreementandCertificateandMarkUsingAgreement,PartyBshallinvestigatePartyA’sresponsibilitiesaccordingtotherelevantprovisionsoftheagreementabove.第十條 爭議處理ArticleⅩDisputeResolution1.在合同履行過程中發(fā)生爭議，雙方應(yīng)當(dāng)協(xié)商解決。如無法協(xié)商，可由主管部門先行協(xié)調(diào)，共14頁第11 頁CFNR-SQ-02-05 北京XXX認(rèn)證有限公司如協(xié)調(diào)未果，可向被告所在地有管轄權(quán)的人民法院提起訴訟。AnydisputearisingoutoftheperformanceofthisContractshallberesolvedbybothpartiesvianegotiation.Incaseoffailureinnegotiation,bothpartiescanapplytothecompetentdepartmentformediation;incaseoffailureinmediation,bothpartiescanfilealawsuittothecompetentpeople’scourtatsitetheofthedefendant.2.在合同有效期內(nèi)，由于一方責(zé)任致使另一方利益受損失的，責(zé)任方應(yīng)承擔(dān)賠償，賠償?shù)拇胧﹨f(xié)商解決。2.IfeitherpartysuffersanylossorlossesduetotheotherpartyduringthevalidityofthisContract,theresponsiblepartyshallmakecompensation,themeasuresofwhichshallbenegotiatedbybothpartieshereto.3.乙方通過現(xiàn)場審查或文件審查收集具有代表性的客觀證據(jù)進(jìn)行判定。
