□不允許NotAllowed6.保險(xiǎn)INSURANCE6.1負(fù)責(zé)投保方InsuranceCoveredBy:□買方Buyer□賣方Seller6.2若賣方負(fù)責(zé)投保，則由賣方按本合同發(fā)票金額110%從啟運(yùn)地至最后目的地投保-險(xiǎn)和附加險(xiǎn)。IftheSellerisresponsiblefortheinsurance,insuranceshallbecoveredbytheSellerfor110%oftheInvoicevalueagainstRisksandAdditionalRisksfromtheplaceofdeparturetothefinaldestination.7.包裝和運(yùn)輸標(biāo)記PACKINGANDSHIPPINGMARK7.1賣方采用的包裝應(yīng)當(dāng)是適合長(zhǎng)途運(yùn)輸?shù)陌b，并采用防濕、防潮、抗震、防銹、抗野蠻搬運(yùn)等防護(hù)方法。Tobepackedincase(s)/carton(s)suitableforlongdistancetransportationandwellprotectedagainstdampness,moisture,shock,rustandroughhandling.7.2運(yùn)輸標(biāo)記：在包裝箱的每一面都應(yīng)當(dāng)明顯印刷有包裝箱號(hào)、箱體尺寸、毛重、凈重、搬運(yùn)點(diǎn)以及“小心輕放”等警示字樣。ShippingMark:Onthesurfaceofeachpackage,thepackagenumber,measurement,grossweight,netweight,theliftingpositions,warningssuchas“HANDLEWITHCARE”shallbeprintedclearly.8.單據(jù)DOCUMENTSREQUIRED8.1賣方憑下列單據(jù)向付款銀行議付貨款：TheSellershallpresentthefollowingdocumentstothepayingbankfornegotiationofpayment:a.全套可議付的清潔已裝運(yùn)提單，空白昂首。（如系CIF條款則注明“運(yùn)費(fèi)已付”，如系FOB條款則注明“運(yùn)費(fèi)待收”），并告知到貨口岸-運(yùn)輸公司。FullsetofNegotiableCleanonBoardBillsofLadingmarked“freightprepaid”forCIFTermsor“freighttocollect”forFOBTerms,andmadeouttoorder,andnotifying(transportcompany)attheportofdestination.b.3份商業(yè)發(fā)票原件，并注明合同號(hào)、信用證號(hào)和嘜頭。Commercial

9.質(zhì)量確保WARRANTYFORTHE

QUALITYOFCOMMODITY9.1賣方確保其所提供的貨品系用最佳的材料和工藝制造，確保其所提供的貨品為全新的未曾使用過的，并且符合本合同商定。The

guarantee

that

the

Commodity

hereof

shallbemadefromthebestmaterialandbythefirstworkman-shipandnewlymanufactured,unusedandcomplieswiththisContract.10.索賠CLAIMS10.1貨到目的港后,買方如發(fā)現(xiàn)貨品質(zhì)量、數(shù)量或重量與合同規(guī)定不符，除屬于保險(xiǎn)公司或貨運(yùn)公司的責(zé)任外，買方能夠憑雙方同意的檢查機(jī)構(gòu)出具的檢查證明向賣方提出異議，質(zhì)量異議須于貨到目的港之日起20日內(nèi)提出，數(shù)量或重量異議須于貨到目的港之日起10日內(nèi)提出。買方逾期提出異議的，賣方將不負(fù)任何責(zé)任。Incasethequality,quantityandweightarefoundbytheBuyernottoconformwiththecontractafterarrivalofthecommodityattheportofdestination,theBuyermaylodgeaclaimagainsttheSellersupportedbyasurveyreportissuedbyaninspectionorganizationagreeduponbybothpartieswiththeexceptionofthoseclaimsforwhichtheinsurancecompanyand/ortheshippingcompanyaretobeheldresponsible.ClaimforqualitydiscrepancyshouldbefiledbytheBuyerwithin20daysafterarrivalofthegoodsattheportofdestinationwhileforquantity/weightdiscrepancyclaimshouldbefiledbytheBuyerwithin10daysafterarrivalofthecommodityattheportofdestination.Iftheclaimisoverdue,the

foranydiscrepancycliam.11.不可抗力FORCEMAJEURE11.1如因不可抗力因素致使賣方不能履約或延期交付本合同項(xiàng)下全部或部分貨品，賣方不負(fù)任何責(zé)任。TheSellershallnotbeheldresponsibleforfailureordelayindeliveryoftheentireorportionofthecommodityunderthisContractinconsequenceofanyForceMajeureaccident.12.仲裁及合使用方法律ARBITRATIONANDGOVERNINGLAW12.1在推行本合同過程中發(fā)生的或與本合同有關(guān)的全部爭(zhēng)議由雙方和諧協(xié)商解決。如果未能協(xié)商解決，則提交位于北京的中國(guó)國(guó)際經(jīng)濟(jì)和貿(mào)易仲裁委員會(huì)仲裁解決，按照申請(qǐng)仲裁時(shí)該仲裁委員會(huì)實(shí)施的仲裁規(guī)則進(jìn)行仲裁。該仲裁委員會(huì)的仲裁裁決是終局的，買賣雙方均應(yīng)受其約束。仲裁費(fèi)用由敗訴一方負(fù)擔(dān)。AlldisputesarisingfromtheexecutionoforinconnectionwiththeContractshallbesettledthroughfriendlyconsultationbetweenbothparties.Shouldnoagreementbereachedthroughconsultation,thedispute(s)shallthenbesubmittedforarbitrationtoChinaInternationalEconomicandTradeArbitrationCommission,Beijing,inaccordancewiththeexistingrulesofthesaidCommission.ThedecisionrenderedbythesaidCommissionshallbefinalandbindinguponbothparties.Bothpartiesshallexecutethedecisionaccordingly.Thearbitrationfeeshallbebornebythelosingparty.12.2在仲裁階段，除提交仲裁的部分外，買賣雙方應(yīng)繼續(xù)推行合同。Inthecourseofarbitration,theContractshallbeexecutedcontinuouslybybothpartiesexceptthosepartsunderarbitration.12.3本合同及其解釋合用中華人民共和國(guó)法律。ThisContractshallbegovernedbyandinterpretedinaccordancewithLawsofthePeople’sRepublicofChina.13.合同生效及其它EFFECTIVENESSOFCONTRACTANDMISCELLANEOUS13.1本合同在雙方簽字蓋章后生效。本合同正本2份，雙方各執(zhí)1份，含有同等法律效力。ThisContractshallbecomeeffectiveimmediatelyafterbeingsignedandsealedbythetwopartiesconcerned.ThisContractiswrittenin2originals,bothoriginalshavingthesameforce,1ofwhichisheldbyeachparty.13.2本合同以中文和英文兩種語言書寫。如果中文版本與英文版本發(fā)生沖突，以中文版本為準(zhǔn)。ThisContractismadeoutandwritteninChine
