ThissupplementaryagreementissignedbytheSupplier(hereinaftercalled“SUPPLIER”)andtheBuyer(hereinaftercalled“BOSCH”)basedonthemainPurchaseContract()withfriendlyconsultation,undertheprincipleoffaircooperation,mutualbenefitforbothparties.供應(yīng)商（以下簡稱“供應(yīng)商”）和采購商（以下簡稱“博世”）在雙方簽訂的主采購合同()基礎(chǔ)之上，經(jīng)友好協(xié)商，本著平等合作、互惠互利的原則簽訂本補(bǔ)充協(xié)議書。ConsignmentStockModel–AutomaticProduction庫存運(yùn)轉(zhuǎn)模式–自動(dòng)生產(chǎn)DefinitionofGoodsorProduct:The“Goods”or“Product”underthisAgreementrefertoalltypesofproductsorderedby“BOSCH”fromtheSUPPLIER.ThedetailedproductsinformationshallrefertothemainPurchaseContractand“PurchaseOrder”fromBOSCH.“貨物”或“產(chǎn)品”定義：本協(xié)議所稱“貨物”或“產(chǎn)品”，指由博世向供應(yīng)商訂購的各類產(chǎn)品，具體產(chǎn)品信息見雙方主采購合同及博世下達(dá)之“采購單”。TheSUPPLIERshouldautomaticallyandtimelyarrangetheproductionoftheconsignmentstockandmaketherelatedmaterialplanningaccordingtothe“DemandForecast”(seetheAnnex1)givenbyBOSCH30daysinadvance.供應(yīng)商根據(jù)博世提前三十天時(shí)間提供的《需求預(yù)測表》（參見附表一）自動(dòng)及時(shí)地安排庫存的生產(chǎn)和相關(guān)的備料計(jì)劃。UnderthisAgreement,theSUPPLIERshallbearalltaxesandfees/costsrelatingtothestock,suchasstoragefee,waterandpowerfee,stockandpropertyinsurancepremiumetcbyitself.本協(xié)議下供應(yīng)商自行負(fù)責(zé)貨物備庫所需的稅費(fèi)/成本，如倉儲(chǔ)費(fèi)、水電費(fèi)及貨物和財(cái)產(chǎn)保險(xiǎn)等費(fèi)用。DemandForecast《需求預(yù)測表》Thefirstweekofeachmonth,thelist“DemandForecast”willbyupdatedby“ProductionPlanningDepartment”ofBOSCH(hereinaftercalled“BOSCH/MFO”)andthengiventotheSUPPLIERbyfax.每個(gè)月的第一周，博世生產(chǎn)計(jì)劃部對《需求預(yù)測表》進(jìn)行更新，并以傳真的方式提供給供應(yīng)商。Thelist“DemandForecast”shallincludethedemandforecastofatleastthreemonths,foreachmonththereisanupperlimitandalowerlimit.Amongwhich,thefirstmonthisfixedquantity,whichshouldbetakenbytheSUPPLIERasthebasisforproductionofconsignmentstock.Thesecondandthirdmonthisonlyforecastquantityandnotbinding,whichshouldbetakenbytheSUPPLIERonlyforthepurposeoffuturematerialplanning《需求預(yù)測表》應(yīng)至少包含三個(gè)月的預(yù)測需求量，每個(gè)月的數(shù)量均有一個(gè)上限數(shù)量和一個(gè)下限數(shù)量。其中，第一個(gè)月的數(shù)量為固定數(shù)量，作為供應(yīng)商庫存生產(chǎn)的依據(jù)。第二、第三個(gè)月的數(shù)量為預(yù)測數(shù)量，不具約束力，僅為供應(yīng)商制定日后備料計(jì)劃預(yù)測用途。TheSUPPLIERmustmakesurethattheupperandlowerlimitsrequiredbyBOSCHcanbemetaccordingly.Inprinciple,theconsignmentstockreachesthelowerlevel,theSUPPLIERshouldstarttoreplenishthestocklevel.Adversely,whentheconsignmentstockexceedstheupperlevel,theSUPPLIERshouldreducethestockleveltoareasonablelevelbyadjustingtheirproductionplan.供應(yīng)商必須保證滿足博世的上下限要求。原則上，當(dāng)供應(yīng)商的庫存降至下限要求時(shí)，供應(yīng)商應(yīng)開始補(bǔ)庫；反之，當(dāng)供應(yīng)商的庫存超過上限要求時(shí)，供應(yīng)商應(yīng)通過調(diào)整生產(chǎn)計(jì)劃，將庫存水準(zhǔn)降至合理的水準(zhǔn)。DeliveryandTransportation發(fā)貨與運(yùn)輸ThedeliveryshallbearrangedbytheSUPPLIERaccordingtotheFourthShift“PurchaseOrders”issuedbyBOSCH/MFO1~2daysinadvancebyfax.Therelated“PurchaseOrders”includethecodes,typedescriptions,quantities,requireddeliverydate,unitpricesandamountsofthecargoetc.Such“PurchaseOrders”onlybecomeeffectiveaftersignedbythedulyrepresentativeofBOSCH.Foranydelayingoodsdelivery,theSUPPLIERshallcompensateeconomiclossesifanycausedtoBOSCH’sproductionthereof.供應(yīng)商根據(jù)博世生產(chǎn)計(jì)劃部提前一至兩天提供的四班“采購單”(傳真件)安排發(fā)貨。“采購單”的內(nèi)容包括產(chǎn)品代碼、產(chǎn)品型號、數(shù)量、要求交貨日期、單價(jià)、金額等內(nèi)容。該類“采購單”須經(jīng)采購商的有效授權(quán)代表簽署方為生效。如延期交貨，應(yīng)向博世承擔(dān)因此影響博世生產(chǎn)而造成的經(jīng)濟(jì)損失。TheSUPPLIERisresponsibletodelivertherequiredgoodstothewarehouse(orassemblyline)ofBOSCHattherequireddates,thismeans,transportationexpensesfromSUPPLIER’swarehousetoBOSCH’swarehouseshallbepaidbytheSUPPLIER.供應(yīng)商負(fù)責(zé)按照博世的具體要求，在指定的日期將貨物運(yùn)送至博世的倉庫(或總裝生產(chǎn)線上)，亦即，供應(yīng)商承擔(dān)從其倉庫至博世倉庫(或總裝生產(chǎn)線)之間的運(yùn)費(fèi)費(fèi)用。ThegoodsdeliveredbytheSUPPLIERtoBOSCHmustbetheones,whichhavebeenreleasedby“QualityAssuranceDepartment”ofBOSCH(hereinaftercalled“BOSCH/QAS”)andalsotallywiththerelatedPurchaseOrdersofBOSCH/MFO.ThepapershowingtheinformationabouttherelatedreleasebyBOSCHandthecopyof“PurchaseOrder”shouldaccompanywiththedeliveryofSUPPLIER.Thewarehouse(orassemblyline)ofBOSCHacceptsthedeliveryby“ReleasePaper”and“PurchaseOrder”involved.供應(yīng)商的交貨必須是博世質(zhì)檢部已經(jīng)放行了的產(chǎn)品，且與博世的采購單相吻合?！爱a(chǎn)品放行證明”(復(fù)印件)和“采購單”(復(fù)印件)應(yīng)隨貨同行。博世的倉庫(或總裝生產(chǎn)線)憑“采購單”(復(fù)印件)和“產(chǎn)品放行證明”(復(fù)印件)辦理貨物的接收。ReleaseofProducts產(chǎn)品放行EachbatchofproductsmanufacturedbytheSUPPLIERhavetoobtainthereleaseapprovalfromBOSCH/QAS.Howtoreleasetherelatedproducts(randomcheckorbatch-by-batchcheck)issubjecttothedecisionofBOSCH/QAS.供應(yīng)商生產(chǎn)的每一批產(chǎn)品，均要獲得博世質(zhì)檢部的放行許可。是百分之百每批檢驗(yàn)放行，還是抽查檢驗(yàn)放行，取決于博世質(zhì)檢部的決定。Incaseofqualitychecksof100%batches,whentheproductionisfinishedbytheSUPPLIER,QualityAssuranceDepartmentof“BOSCH”sendtheIQC-peopletotheplaceoftheSUPPLIERtomakethequalitycheckattheSUPPLIERaccordingtothetimescheduleagreedbybothsides.百分之百檢驗(yàn)放行時(shí)，供應(yīng)商完成生產(chǎn)之后，根據(jù)雙方確認(rèn)的時(shí)間表，博世質(zhì)檢部派人到供應(yīng)商所在地進(jìn)行產(chǎn)品的質(zhì)量檢查。Incaseofrandomchecks,itisamustfortheSUPPLIERtogettheoriginalwrittencopyorfaxreleasefromBOSCHbyofferingtheirfullsetsofinspectionreportsbyoriginalwrittencopyorfax.抽查檢驗(yàn)放行時(shí)，供應(yīng)商必須通過書面原件或傳真向“博世”質(zhì)檢部提供全套的質(zhì)檢報(bào)告，以取得博世質(zhì)檢部的放行許可（書面原件或傳真）。NomatterwhichchecksmodeistakenbytherepresentativesofrelevantdepartmentofBOSCH,thereleaseofproductsshallnotexempttheliabilityoftheSUPPLIERforthoseinternalandintangibledefectexistinginproducts不論博世相關(guān)部門代表對產(chǎn)品采取何種檢驗(yàn)方式并予以放行，但并不能免除供應(yīng)商應(yīng)承擔(dān)的所有產(chǎn)品內(nèi)在隱蔽的質(zhì)量缺陷或瑕疵責(zé)任.WhentheSUPPLIERhasworkedouttheproductionplanbasedonthe“DemandForecast”ofBOSCH,theSUPPLIERisresponsibletoinformBOSCH/QASandBOSCH/MFOearlierenoughinadvanceaboutthedetailedtimescheduleforwhenthequalityauditcanbecarriedout.BOSCH/QASisresponsibletofixtheauditdateaccordingly,orgetthedatesacceptabletobothsidesthroughmutualnegotiations.當(dāng)“供應(yīng)商”根據(jù)“博世”提供的《需求預(yù)測表》制定出生產(chǎn)計(jì)劃之后，“供應(yīng)商”負(fù)責(zé)提前足夠的時(shí)間通知“博世”的質(zhì)檢部和生產(chǎn)計(jì)劃部可以開始產(chǎn)品質(zhì)量的檢驗(yàn)時(shí)間。“博世”質(zhì)檢部負(fù)責(zé)確定質(zhì)量檢驗(yàn)的日期，或者通過協(xié)商決定質(zhì)量檢驗(yàn)的日期。WarehousingofProducts產(chǎn)品的倉儲(chǔ)TheSUPPLIERshouldarrangeaseparateplacefortheconsignmentstock.Onlythoseproducts,whichhavebeenreleasedbyBOSCH/QAS,canbestoredintheassignedplaceattheSUPPLIER.ThestockshouldbeprovidedwiththecorrectandclearlabelingcontainingBOSCHcode,typedescription,productionbatchandquantityetc.“供應(yīng)商”應(yīng)安排一個(gè)專門的地方存放貨物。只有那些獲得了“博世”質(zhì)檢部放行了的產(chǎn)品，才能存放在這個(gè)專門的地方。庫存的產(chǎn)品應(yīng)有博世代碼、產(chǎn)品型號與名稱、生產(chǎn)批次、數(shù)量等標(biāo)識。WithoutagreementofBOSCH,itisnotallowedfortheSUPPLIERtomoveorexchangeanyconsignmentstock,whichhasbeenreleasedbyBOSCH.未經(jīng)博世同意，供應(yīng)商不得隨意搬動(dòng)或調(diào)換已檢驗(yàn)合格的產(chǎn)品。TheSUPPLIERshouldmakesurethatthestorageofthequalifiedproductsmatchesthedust-proof,moisture-proofandsunshine-proofconditionsandenvironmentalandfireprotectionetc.requirementsofthenationalstandard.供應(yīng)商應(yīng)確保存放檢驗(yàn)合格后的產(chǎn)品的倉庫，應(yīng)防塵、防潮、防曬，并滿足此類產(chǎn)品存放的國家環(huán)保及消防等方面要求。TheSUPPLIERshouldhaveanInventoryManagementSystemcapablemeasuringinventoryturnsandstockleveloftheparts,ensuringthestockrotationona“FirstInFirstOut”(FIFO)principleandsupportingconsignmentstock,ShiptoStock(STS)orShiptoLine(STL)deliveries.供應(yīng)商應(yīng)有一個(gè)可以監(jiān)測倉庫周轉(zhuǎn)、庫存水準(zhǔn)的倉庫管理體系。貨物的出倉必須滿足“先進(jìn)先出”之基本原則，并按照需要供貨至博世倉庫或總裝生產(chǎn)線上。TheSUPPLIERshalltakeaproactiveapproachandcommunicateallpotentialdeliveryproblemsbeforetheyaffectcurrentBOSCHstocklevelsandproductionplanning/arrangement.供應(yīng)商應(yīng)建立一個(gè)有效的預(yù)防和溝通機(jī)制，防范潛在的交貨問題影響博世的庫存水準(zhǔn)和生產(chǎn)計(jì)劃/安排。ChangeofDesign設(shè)計(jì)更改IfthedesignofoutsourcingpartshavetobechangedbyBOSCH,BOSCHwillinformtheSUPPLIERone-monthinadvance.BOSCHisonlyresponsibleforthefixedquantitiesofthefirstmonthandnon-common-partsofsecondmonth,thecostsfortheabovemodificationshavetobenegotiatedbybothparties；WhiletheSUPPLIERshallberesponsiblefortherestforecastquantitiesbyitself.當(dāng)外購件或外協(xié)件需要更改時(shí)，博世將提前一個(gè)月通知供應(yīng)商，同時(shí)只負(fù)責(zé)預(yù)測表中固定量及第二月中專用件的數(shù)量，上述更改所需費(fèi)用由雙方協(xié)商解決；其它預(yù)測量由供應(yīng)商自行處理。Payment貨款支付ThedetailedconditionsofpaymentaresubjectinthemainPurchaseContractsignedbybothparties.合同產(chǎn)品的具體支付條款，參照雙方簽訂的主采購合同。QualityAssurance質(zhì)量保證ThequalityassuranceoftherelatedproductsissubjecttotheQualityAgreementandInstructionsonQualityAssurancesignedbybothparties.產(chǎn)品的質(zhì)量保證，根據(jù)雙方簽訂的《質(zhì)量協(xié)議》和《供應(yīng)商質(zhì)量保證指南》。AdjustmentofBOSCH-Orders博世訂單的調(diào)整Whenthetotalquantitiesofactual“PurchaseOrders”issuedbyBOSCHareexceedingtheupperlimitmentionedinthe“DemandForecast”,thesuppliershouldensuretoarrangetheproductionoftheover-partsasfirstpriority.當(dāng)博世的實(shí)際采購單大于《需求預(yù)測表》的上限時(shí)，供應(yīng)方應(yīng)保證在生產(chǎn)安排中優(yōu)先完成，并制定出相關(guān)的處理方案，以滿足要求。Whenthetotalquantitiesofactualmonthly“PurchaseOrders”issuedbyBOSCHarelessthanthegivenlowerlimit,theSUPPLIERshouldpaycloseattentiontotheirstockandmakerelatedadjustmentinordernottoexceedthegivenupperlimits.當(dāng)博世當(dāng)月實(shí)際采購定單的總數(shù)低于規(guī)定的下限時(shí)，供應(yīng)商應(yīng)密切關(guān)注其庫存水準(zhǔn)，并進(jìn)行相應(yīng)的調(diào)整，以保證庫存的水準(zhǔn)不超過規(guī)定的上限。Whenthestocklevelreachorbecomelowerthantherequiredlowerlimit,theSUPPLIERshouldtaketheimmediateactionsforreplenishmentoftheconsignmentstocksoastoavoidthatthestockrunsoutofthelevels.當(dāng)供應(yīng)商的庫存水準(zhǔn)達(dá)到或低于規(guī)定的下限時(shí)，供應(yīng)商應(yīng)立即采取補(bǔ)庫措施，防止短貨、斷庫現(xiàn)象的出現(xiàn)。Whenitcomestothecooperationoragreementexpiration,thesurplusstocks(ifany)shallbedisposedproperlybytheSUPPLIERafternegotiationwithBOSCH:IfBsochunderstand
