THISDESIGNAGREEMENT(the"Agreement")ismadeandenteredintoasofthe_____dayof_____,20__(the"EffectiveDate"),byandbetween_____(the"Client"),acompanydulyorganizedandexistingunderthelawsof_____,withitsprincipalplaceofbusinessat_____,and_____(the"Designer"),acompanydulyorganizedandexistingunderthelawsof_____,withitsprincipalplaceofbusinessat_____.

WHEREAS,theClientdesirestoengagetheDesignertoprovidecertaindesignservices;and

WHEREAS,theDesigneriswillingtoprovidesuchdesignservicesuponthetermsandconditionssetforthinthisAgreement.

NOW,THEREFORE,inconsiderationofthemutualpromisesandcovenantscontainedherein,thepartiesagreeasfollows:

1.ScopeofServices

1.1TheDesignershallprovidethedesignservices(the"Services")asdescribedintheattachedStatementofWork(the"SOW"),whichisherebyincorporatedbyreferenceintothisAgreement.

1.2TheDesignershallperformtheServicesinaprofessionalandworkmanlikemannerconsistentwithindustrystandards.

1.3TheClientshallprovidetheDesignerwithallnecessaryinformation,resources,andaccesstopremisesasmayberequiredfortheDesignertoperformtheServices.

2.Deliverables

2.1TheDesignershalldeliverthefinaldesignwork(the"Deliverables")totheClientinaccordancewiththeschedulesetforthintheSOW.

2.2TheClientshallhavetherighttorequestupto_____revisionstotheDeliverables,subjecttotheDesigner'sreasonablediscretion.

3.FeesandPayment

3.1TheClientshallpaytheDesignerthefees(the"Fees")assetforthintheSOW.

3.2TheClientshallpaytheDesignerinaccordancewiththepaymentschedulesetforthintheSOW.

3.3TheDesignershallinvoicetheClientfortheFeesinaccordancewiththepaymentschedule.

4.IntellectualPropertyRights

4.1UponfullpaymentofallFees,theDesignerherebyassignstotheClientallright,title,andinterestinandtotheDeliverables,includingallcopyrightsandotherintellectualpropertyrights.

4.2TheDesignerrepresentsandwarrantsthattheDeliverableswillnotinfringeuponanythird-partyintellectualpropertyrights.

5.Confidentiality

5.1Eachparty(the"ReceivingParty")agreestoholdinconfidenceandnotdisclosetoanythirdpartyanynon-publicinformationoftheotherparty(the"DisclosingParty")withouttheDisclosingParty'spriorwrittenconsent.

5.2TheReceivingPartyshallusethesamedegreeofcaretoprotecttheDisclosingParty'sconfidentialinformationasitusestoprotectitsownconfidentialinformation,butinnoeventlessthanreasonablecare.

6.TermandTermination

6.1ThisAgreementshallcommenceontheEffectiveDateandshallcontinueuntilthecompletionoftheServicesoruntilearlierterminatedasprovidedherein.

6.2EitherpartymayterminatethisAgreementforcauseuponwrittennoticetotheotherpartyintheeventofamaterialbreachbytheotherpartythatremainsuncuredforaperiodof_____daysafterreceiptofwrittennotice.

7.Indemnification

7.1TheDesignershallindemnify,defend,andholdharmlesstheClientfromandagainstanyandallclaims,demands,liabilities,losses,damages,costs,andexpenses(includingreasonableattorneys'fees)arisingoutoforinconnectionwithanyclaimthattheDeliverablesinfringeuponanythird-partyintellectualpropertyrights.

7.2TheClientshallindemnify,defend,andholdharmlesstheDesignerfromandagainstanyandallclaims,demands,liabilities,losses,damages,costs,andexpenses(includingreasonableattorneys'fees)arisingoutoforinconnectionwiththeClient'suseoftheDeliverables.

8.LimitationofLiability

8.1INNOEVENTSHALLEITHERPARTYBELIABLETOTHEOTHERPARTYORTOANYTHIRDPARTYFORANYINDIRECT,INCIDENTAL,SPECIAL,EXEMPLARY,ORCONSEQUENTIALDAMAGESARISINGOUTOFORINCONNECTIONWITHTHISAGREEMENT,WHETHERBASEDONWARRANTY,CONTRACT,TORT(INCLUDINGNEGLIGENCE),OROTHERWISE,EVENIFSUCHPARTYHASBEENADVISEDOFTHEPOSSIBILITYOFSUCHDAMAGES.

8.2THETOTALLIABILITYOFEACHPARTYFORALLCLAIMSARISINGOUTOFORINCONNECTIONWITHTHISAGREEMENTSHALLNOTEXCEEDTHEFEESPAIDBYTHECLIENTTOTHEDESIGNERUNDERTHISAGREEMENT.

9.GoverningLaw

9.1ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsoftheStateof_____,withoutgivingeffecttoanychoiceoflaworconflictoflawrulesorprovisionsthatwouldcausetheapplicationofanyotherstate'slaws.
