3、 DESTINATION8 .裝運(yùn)期：SHIPMENT PERIOD9 .付款條件：TERMS OF PAYME NT合同貨款應(yīng)由買(mǎi)方通過(guò)賣(mài)方可接受的銀行,按合同總價(jià)開(kāi)出以賣(mài)方 為受益人的、無(wú)追索權(quán)、保兌、不可撤銷(xiāo)、可轉(zhuǎn)讓、可分批裝運(yùn)、可轉(zhuǎn)船 的信用證支付.憑即其期匯票在提示第10條所列裝運(yùn)單據(jù)時(shí)付款.該信用證最遲應(yīng)于裝運(yùn)期開(kāi)始前 開(kāi)到賣(mài)方,而且在裝運(yùn)期結(jié)束后15天內(nèi)仍能在中國(guó)有效議付.假設(shè)買(mǎi)方未能履行上述義務(wù),根據(jù)賣(mài)方的選擇,可終止本合同,或接 受本合同的局部或全部,或就由此而發(fā)生的任何損失提出索賠.Payment hereunder shall be madeby confirmed ;

10、nguished.13.許可證、關(guān)稅和稅收:LICENSES,DUTIES AND TAXES:除本合同另有規(guī)定外,所有進(jìn)口許可、許可證以及不屬于國(guó)家的任 何政府機(jī)構(gòu)征收的一切進(jìn)口稅、關(guān)稅和各種稅收均由買(mǎi)方負(fù)擔(dān).Except as otherwise provided herein , all import permits and licenses and the import duties, customs fees and all taxes leviedby any government authority other than the Seller ' s country sh

11、all be the sole responsibility of the Buyer.14 .不可抗力：FORCE MAJEURE:如果賣(mài)方遇到人力不可抗拒事件,包括但不限于火災(zāi)、水災(zāi)、地震、 臺(tái)風(fēng)、白然災(zāi)害以及任何其他賣(mài)方不能合理限制的任何意外事故和情況, 阻止、阻礙或干擾了本合同的履行時(shí),本合同規(guī)定的賣(mài)方履約時(shí)間應(yīng)白動(dòng) 延長(zhǎng),其延常年時(shí)間應(yīng)相當(dāng)于因人力不可抗拒事件直接地或間接地使賣(mài)方 不能履行本合同的時(shí)間.受不可抗力事件影響的賣(mài)方應(yīng)在合理的時(shí)間內(nèi), 用電報(bào)或電傳將不可抗力事件的發(fā)生通知買(mǎi)方, 并于 個(gè)月內(nèi)將有關(guān)當(dāng)局 出具的有關(guān)不可抗力事件的證實(shí)航寄買(mǎi)方.如果不履約的情況延續(xù)達(dá) 天以上,雙

12、方應(yīng)立即協(xié)商修改合同.假設(shè) 從不可抗力事件發(fā)生之日起 天內(nèi)雙方當(dāng)事人未能取得雙方滿(mǎn)意的解決 方法時(shí),任何一方都可以終止履行本合同未執(zhí)行局部.The time for the performance of the Seller ' s obligations set forth in this Contract shall be automatically extended for a period equal to the duration of any nonperformance arising derecly or indirectly from Force Majeure ev

13、ents including but not limited to fire , flood , earthquake , typhoon , natural catastrophe ,and all other contingencies and circumstances whatsoever beyond the Seller ' s reasonable control preventing , hindering or interfering with the performance thereof , The Seller so prevented by force maj

14、eure shall in reasonable time inform the Buyer by cable or telex of the occurrence of force majeure and within one month by air mail a relevant certificate issued by competent authorities as evidence thereof . If the nonperformance lasts for more than() days ,the Parties shall immediately consult to

15、gether in an effort to agree upon a revised Contract basis .If the Parties are unable to arrive at a mutually satisfactory solution within() days from the beginning of such force Majeure , then either of the Parties may terminate the Contract in respect of the unexecuted portion of the Contract .15.

16、索賠CLAIMS:如發(fā)現(xiàn)貨物在質(zhì)量、數(shù)量或規(guī)格方面與本合同第一條規(guī)定不符,賣(mài) 方同意審核任何因此而提出的索賠.該索賠要求應(yīng)經(jīng)賣(mài)方認(rèn)可的有信譽(yù)的 檢驗(yàn)機(jī)構(gòu)出具的報(bào)告證實(shí).質(zhì)量方面的索賠要求應(yīng)于貨物到達(dá)目的港后 個(gè)月內(nèi)以書(shū)面形式提出,數(shù)量或規(guī)格方面的索賠要求,應(yīng)于貨物到達(dá)目的 港后天內(nèi)以書(shū)面的形式提出.在任何情況下,賣(mài)方對(duì)利潤(rùn)損失、時(shí)間延誤、商譽(yù)損害或其他由此 而引起的任何特殊或間接損失概不負(fù)責(zé).對(duì)于任何原因造成的任何性質(zhì)的一切滅失或損害,賣(mài)方的賠償責(zé)任, 在任何情況下不得超過(guò)索賠局部貨物的合同價(jià)款,或者根據(jù)賣(mài)方的選擇, 對(duì)此貨物修復(fù)或更換.Should the quality , quantit

In no event shall the Seller be liable for lost profits , delay , injury to goodw

19、ill or anyspecial or consequential damages howsoever any Ir the same are caused .The Seller ' s liability for any and all losses of damages of whatsoever nature resulting from any cause whatsoever shall in no event exceed the portion of the Total Contract Price attributable to commodity in respe
