6、henon-exclusiveagentofstoragetoprovidewarehousingandlogisticsservicesforpartyaandtherelevantunitsdesignatedinwriting,andpartybacceptsthecommissionunderthesameconditions.3 協(xié)議有效期effectivedateofagreement本協(xié)議若無以下提前終止的情況，有效期從年月日至年月曰.雙方一致同意可于本協(xié)議正式生效前天左右開始試運(yùn)行，試運(yùn)行期間的一切事宜如操作形式，操作標(biāo)準(zhǔn)，費(fèi)用，雙方的權(quán)利義務(wù)等均按本協(xié)議項(xiàng)下除本條外的各條款執(zhí)

9、fterminationinwritingtotheotherparty;or(c) theagreementofthetwopartiesisterminated.獨(dú)立承包方independentcontractor乙方為甲方的獨(dú)立承包人，本協(xié)議任何條款或附錄，附件，備忘錄等均不得影響這種關(guān)系或情況.乙方將按其實(shí)際需求為履行本協(xié)議雇傭其他單位或個(gè)人為其員工或分包商.雙方理解，這樣的單位或個(gè)人僅僅為乙方的員工或分包商，完全由乙方獨(dú)立雇傭，解雇，管理，控制,在任何情況下均不與甲方構(gòu)成中國法律所描述的雇傭關(guān)系且這樣的單位或個(gè)人與乙方間的任何糾紛，紛爭(zhēng)等均不得對(duì)甲方或本協(xié)議的實(shí)施產(chǎn)生任何負(fù)面影響.甲

11、theiractualneedsforimplementationofthisagreement.thetwopartiesunderstandthatsuchunitsorindividualsareonlytheemployeesorsub-contractorsofpartyb,andcanbeemployed,dismissed,managedandcontrolledbypartybindependently,andinanycase,theyhavenoemploymentrelationshipdescribedinchineselawswithpartya,andanydisp

12、utebetweensuchunitsorindividualswithpartyb,shallnotbringnegativeimpactstopartyaortotheimplementationoftheagreement.partyaisexemptedfromrelatedliability.partybmustchooseandsupervisetheseunitsandindividualswithreasonablecaution,holdfullyresponsiblefortheiractsandomissions.乙方必須隨時(shí)按甲方的要求向甲方提供乙方現(xiàn)有分包商的資料.p

14、5倉儲(chǔ)月艮務(wù)warehousingservices倉儲(chǔ)與物流服務(wù)的詳細(xì)描述請(qǐng)見附件1.如需擴(kuò)展倉儲(chǔ)與物流服務(wù)范圍，雙方可隨時(shí)以書面形式修改附件1.5.1 pleaseseewarehousingandlogisticsservicesinannex1fordetail.fortheexpansionofwarehousingandlogisticsservicesrange,thetwosidesmayamendannex1inwritingatanytime.2/9乙方應(yīng)按照附錄a規(guī)定的倉儲(chǔ)與物流業(yè)務(wù)標(biāo)準(zhǔn)操作流程履行倉儲(chǔ)與物流服務(wù).5.2 partybshallfulf川thewarehou

15、singandlogisticsservicesbasedonthestandardoperatingprocedureofwarehousingandlogisticsstipulatedinappendixa.5.3 乙方向甲方承諾，乙方具備符合要求的專業(yè)技術(shù)及人員，設(shè)備，能按照倉儲(chǔ)與物流行業(yè)的最高標(biāo)準(zhǔn)和倉儲(chǔ)與物流服務(wù)條款向甲方提供能讓甲方滿意的一流專業(yè)倉儲(chǔ)與物流服務(wù).具體而言包括但不限于5.4 partybmakescommitmenttopartyathattheyhaveprofessionaltechnology,personnelandequipmentwithspecified

16、requirements,andcouldprovideasatisfactoryfirst-classprofessionalwarehousingandlogisticsservicestopartyaaccordingtothehigheststandardsofwarehousingand2016全新精品資料-全新公文范文-全程指導(dǎo)寫作法家原創(chuàng)6/23logisticsindustryandconditionsofwarehousingandlogisticsservices.inparticular,itincludesbutnotlimitedto:(a)乙方采用的倉儲(chǔ)及裝卸，集裝

17、箱裝箱，上海市內(nèi)貨運(yùn)等的方式符合處理該類貨物時(shí)的行業(yè)慣例和附錄a詳述的倉儲(chǔ)與物流標(biāo)準(zhǔn)操作流程，二者間取標(biāo)準(zhǔn)較高者為準(zhǔn).(a) thewayofstorageandhandling,containerspacking,freightinshanghai,etc,partybadoptedisinamannerconsistentwiththeindustrypracticesofhandlingsuchgoods,andthestandardoperatingprocedureofwarehousingandlogisticsdetailedinappendixa,thehigherstanda

18、rdofthemprevails.(b)乙方應(yīng)對(duì)所有貨物向甲方提供不間斷的報(bào)告，從接收貨物直到貨物正式移交給甲方指定的提貨單位.(b) partybshallprovidecontinuousreportsforallgoodstopartya,fromthereceiptofgoodstotheformaltransferofgoodstopartya”sdesignateddeliveryagent.如一旦發(fā)現(xiàn)貨物有損壞，乙方必須盡快采取以下行動(dòng)：為受損貨物拍照；書面通知甲方；以及(111) 按照甲方的要求采取適當(dāng)?shù)男袆?dòng).(c) ifthegoodsaredamaged,partybsha

19、lltakethefollowingactions:2016全新精品資料-全新公文范文-全程指導(dǎo)寫作法家原創(chuàng)7/23(i) totakephotographsforthedamageofthegoods;(ii) togivewrittennoticetopartya;and(iii) totakeappropriateactioninaccordancewiththerequirementsofpartya.6 倉儲(chǔ)費(fèi)用warehousingexpense6.1 作為提供倉儲(chǔ)與物流服務(wù)的報(bào)酬，甲方將按附錄b的約定向乙方支付倉儲(chǔ)與物流費(fèi)用.6.2 asthepaymentinreturnfor

20、providingwarehousingandlogisticsservices,partyashallpaythewarehousingandlogisticsexpensetopartybaccordingtothestipulationinappendixb.6.3 附錄b中列明的上海市內(nèi)運(yùn)輸費(fèi)，倉儲(chǔ)租用費(fèi)費(fèi)，集裝箱裝箱費(fèi)，管理費(fèi)用等將從本協(xié)議簽署之日起生效，此后在協(xié)議有效期內(nèi)固定不變.6.4 theexpensesoftransportinshanghai,warehouselease,containerspacking,managementetc.listedinappendixbw

21、illtakeeffectsincethedateofsigningthisagreementandwillbechangelessduringthevalidityofagreement.3/96.5 甲方可以在任何時(shí)間對(duì)乙方的成本進(jìn)行審計(jì).6.6 partyamayauditthecostofpartybatanytime.7 倉儲(chǔ)費(fèi)用的支付thepaymentofwarehousingexpense2016全新精品資料-全新公文范文-全程指導(dǎo)寫作法家原創(chuàng)8/237.1 乙方將向甲方開具以人民幣金額表示的倉儲(chǔ)與物流費(fèi)用發(fā)票(含增值稅).7.2 partybwillinvoicepartya

22、forthewarehousingandlogisticsexpense(includingvat)inrmb.7.3 倉儲(chǔ)與物流費(fèi)發(fā)票應(yīng)在每月末開具.7.4 theinvoiceofwarehousingandlogisticsexpenseshallbeissuedattheendofeachmonth.7.5 甲方將在收到發(fā)票后30天內(nèi)付款給乙方.7.6 partyawillpaytopartybwithin30daysafterreceiptofinvoice.8 履約審核reviewandverificationofagreementperformance8.1 雙方應(yīng)在本協(xié)議生效后

23、盡快各委派一名代表按下文約定審核倉儲(chǔ)與物流服務(wù)的履行情況.8.2 thetwopartiesshallappointrepresentativesforeachassoonaspossibletoverifythefulfillmentofwarehousingandlogisticsservicesafterthedateofentryintoforceofagreement.8.3 上述代表將定期或最多每季度不超過一次對(duì)乙方在上一季度提供倉儲(chǔ)與物流服務(wù)的情況進(jìn)行審核.8.4 therepresentativesabove-mentionedwillreviewthesituationofw

24、arehousingandlogisticsservicesoflastquartertermlyoratmostonceaquarterprovidedbypartyb.2016全新精品資料-全新公文范文-全程指導(dǎo)寫作法家原創(chuàng)9 /23合同記錄contactrecord9.1 在本協(xié)議的有效期內(nèi)，乙方必須對(duì)其成本和倉儲(chǔ)與物流服務(wù)的履行情況保存精確，單獨(dú)的記錄(“合同記錄”).在甲方合理提前通知的情況下，乙方應(yīng)根據(jù)甲方的要求在正常的工作時(shí)間內(nèi)于乙方辦公場(chǎng)所提供包括合同記錄的帳簿和財(cái)務(wù)記錄供甲方或其代表審查.甲方有權(quán)復(fù)制相關(guān)的合同記錄.9.2 withinthevalidityofagreeme

25、nt,partybmustmakeaccurateandseparaterecords(acontractrecord")fortheircostsandtheperformanceofwarehousingandlogisticsservices.inconditionsofreasonableadvancenoticefrompartya,partybshallprovidetheaccountbookofacontractrecord”andfinancialrecordforpartyaortheirrepresentativestocheck,basedontherequi

26、rementsofpartya,innormalworkinghoursandinpartyb“sofficeplace.partyahasrighttocopytheacontractrecord”related.9.3 乙方必須在相關(guān)的倉儲(chǔ)與物流服務(wù)履行完畢后的7年內(nèi)或在本協(xié)議的有效期內(nèi)(以先到之日為準(zhǔn))自費(fèi)保存相關(guān)的合同記錄.9.4 partybmustkeeptheacontractrecord“relatedatownexpensewithin7yearsafterfulfilmentofwarehousingandlogisticsservicesorwithinthevalidi

27、tyofagreement(thedaycomingfirstprevails)10 保密義務(wù)confidentialityliability2016全新精品資料-全新公文范文-全程指導(dǎo)寫作法家原創(chuàng)10/2310.1 協(xié)議雙方都不得在本協(xié)議有效期內(nèi)或終止后將協(xié)議本身或其內(nèi)容向任何第三方透露(但不包括有權(quán)知曉本協(xié)議的審計(jì)員或政府機(jī)構(gòu))10.2 thetwopartiesshallnotdisclosetheagreementoritscontentstoanythirdpartywithinthevalidityofagreementoraftertermination(excepttoaudi

28、torsorgovernmentalorganizationsthathaverighttoknowthisagreement).4/910.3 任何一方都不得在協(xié)議期內(nèi)或協(xié)議終止后，在沒有事先得到對(duì)方的書面許可前，將與對(duì)方或其相關(guān)單位的經(jīng)營(yíng)情況有關(guān)的內(nèi)容透露給任何第三方，除非：(a)依據(jù)協(xié)議履行自身義務(wù)所需；或(b)必要的審計(jì)；或(c)根據(jù)法律或者其他法定機(jī)構(gòu)的要求.10.4 withoutpriorwrittenpermissionfromtheotherparty,anypartyshallnotdisclosethecontentsrelatedtooperatingsituation

30、ligation11.1 乙方應(yīng)依據(jù)本協(xié)議條款和倉儲(chǔ)與物流服務(wù)條款履行協(xié)議責(zé)任和義務(wù).11.2 partybshallfulfiltheliabilitiesandobligationsofagreementaccordingtotheprovisionsofagreementandtheconditionsofwarehousingandlogisticsservices.11.3 乙方將對(duì)其在根據(jù)協(xié)議為甲方提供倉儲(chǔ)與物流服務(wù)過程中的各種行為，疏忽，欺詐，懈怠，或在進(jìn)行貨運(yùn)和/或倉儲(chǔ)和/或集裝箱裝箱和/或交付甲方貨物等一切按本協(xié)議附錄1中所詳述的操作，或在按本協(xié)議提供倉儲(chǔ)與物流服務(wù)的過程中引

31、起的各種損失(包括但不限于成本，支出和律師費(fèi)等),如：罰金，訴訟，法律程序，損失，債務(wù)，索賠,損害獨(dú)自承擔(dān)責(zé)任，并確保甲方及其相關(guān)單位和他們的董事，管理人員，其他員工和代理不會(huì)因此承擔(dān)任何責(zé)任.11.4 partybshalltaketheliabilitiesindependentlyforallactsduringprovidingwarehousingandlogisticsservicesforpartyaaccordingtoagreement,suchasnegligence,fraud,slack,oralloperationsdetailedinannex1,suchasfre

33、lastheirdirectors,managers,agentsandotheremployeestobearnoresponsibilityforthese.11.5 以下情況下，乙方?jīng)]有責(zé)任；但乙方應(yīng)在可能的情況下盡力協(xié)助甲方對(duì)有關(guān)單位和個(gè)人的索賠：(a)由直接與甲方有契約關(guān)系的第三方(如起重公司或倉庫人員)在向甲方提供倉儲(chǔ)與物流服務(wù)(或倉儲(chǔ)與物流服務(wù)的一部分內(nèi)容)的過程中的作為和不作為；(b)由甲方或其書面委托的人員(除乙方外)的作為或不作為；(c)非乙方負(fù)責(zé)的包裝或暖頭，標(biāo)簽和編號(hào)的標(biāo)記有誤或不足；(d)由甲方或其書面指定人員操作，裝卸,堆放貨物；以及非乙方的故意或過失引起的火災(zāi).1

34、1.6 underthefollowingcircumstances,partybhasnoresponsibility;butpartybshallassistpartyatoclaimtorelevantunitsandindividualsifpossible:5/9(a) theactsandomissionsofthethirdparty(suchasliftingcompanyorwarehousestaff)havingdirectcontractualrelationshipwithpartyaduringprovidingthewarehousingandlogisticss

35、ervices(orapartofwarehousingandlogisticsservices)topartya;(b) theactsandomissionsofthepersonnel(exceptpartyb)2016全新精品資料-全新公文范文-全程指導(dǎo)寫作法家原創(chuàng)13/23entrustedbypartyaorinwritten;(c) incorrectorinsufficientofthepackageormark,labelandtagofnumberthat;(d) theoperation,loadingandunloading,packingofgoodsoftheper

36、sonneldesignatedbypartyaorinwriting;and(e) thefiresarenotcausedbypartybintentionallyornegligently.12 insurance保險(xiǎn)12.1 乙方承諾，已對(duì)在運(yùn)輸，集裝箱裝箱過程中發(fā)生的任何可能的風(fēng)險(xiǎn)購買了相應(yīng)的保險(xiǎn)，且乙方對(duì)在本協(xié)議項(xiàng)下服務(wù)內(nèi)容的操作過程中因一切可歸咎于乙方的原因而造成的損失承擔(dān)全部責(zé)任.12.2 partybpromisesthattheyhaveboughttherelatedinsuranceforanypossibleriskintransport,containerpacki

37、ngintheprocessofpacking,andpartybwillbearfullresponsibilitiesforalllossescausedbypartybintheprocessofoperationofservicesundertheagreement.12.3 為保持產(chǎn)品的最佳倉儲(chǔ)，乙方承諾在任何時(shí)候，對(duì)在倉儲(chǔ)過程中發(fā)生的風(fēng)險(xiǎn)購買了5萬元以下的保險(xiǎn)(甲方已經(jīng)為所存放的物品投保財(cái)產(chǎn)險(xiǎn)，免賠額為人民幣五萬元整)，但由于乙方的責(zé)任而造成甲方在倉庫內(nèi)所存放物的損失，乙方應(yīng)該承擔(dān)全部責(zé)任.12.4 inordertokeeptheproductsinthebeststorage,

39、sebecauseoftheresponsibilityofpartyb.13 終止條款terminationconditions13.1 在不損害當(dāng)事方享有的其他權(quán)利的前提下，如任何一方在任何時(shí)候出現(xiàn)下述情況：13.2 withoutprejudicetotheenjoymentofotherrightsofparties,underthepremiseofanypartyatanytimehavingfollowingsituations:(a)無論是由于自行申請(qǐng)還是在法院的強(qiáng)制執(zhí)行情況下，一方處于無力清償債務(wù)或破產(chǎn)清算的狀態(tài)；或(b)為債權(quán)人或因無力清償債務(wù)而對(duì)其資產(chǎn)進(jìn)行分配；或(c)如

40、果一方嚴(yán)重違背協(xié)議條款，并在收到未違約方要求補(bǔ)救的書面通知后30天內(nèi)未進(jìn)行補(bǔ)救；那么未違約方可以在書面通知違約方后立即終止協(xié)議.(a) becauseofapplicationonitsowninitiativeorundercourtcompulsoryexecution,thepartyisinthestateofinsolvencyorbankruptcyliquidation;or(b) tobethecreditororallocateitsassetsforinsolvency;or2016全新精品資料-全新公文范文-全程指導(dǎo)寫作法家原創(chuàng)15/23(c) ifthepartyser

41、iouslyviolatedtheconditionsofagreement,anddidnoremedywithin30daysafterreceiptofwrittennoticeforremedyfromtheobservantparty;6/9therefore,afternotifyingthebreachingpartyinwriting,theobservantpartymayterminatetheagreementimmediately.13.3 按協(xié)議約定終止本協(xié)議不會(huì)影響協(xié)議任何一方在協(xié)議終止前享有的權(quán)利和承擔(dān)的義務(wù).例如，如甲方或甲方的代理在協(xié)議終止前指定乙方必須提供倉

42、儲(chǔ)與物流服務(wù)，即使協(xié)議在該服務(wù)尚未履行完前就已經(jīng)終止，乙方仍必須完成剩下的任務(wù)；與此同時(shí)，甲方將根據(jù)協(xié)議條款支付該服務(wù)的費(fèi)用.13.4 theterminationoftheagreementaccordingtoagreementregulationwillnotaffectanypartytoenjoytherightsandbeartheobligationsbeforethetermination.forexample,ifpartyaorpartya“sagentdesignatespartybtoprovidewarehousingandlogisticsservicesbefor
