bereasonablydemandedtocarryoutsuchtestsbytheOwnerproperlyandefficiently.5.WhenthePlantshallhavepassedtheabovetests,theOwnershallfurnishtheContractorwithacertificateinwritingtothateffect.NoPlantshallbedelivereduntilanyfaultsdiscoveredduringinspectionaresatisfactorilyrectified.第七條工地1.承包商應(yīng)在工地上提供所有令業(yè)主滿意的材料、勞力、設(shè)備、服務(wù)和便利，以便順利施工和完工。2.在總體上得到上述保證的前提下，承包商應(yīng)提供下列各項必需品：a.建筑設(shè)備；b.工地上使用的運輸工具，包括臨時道路；c.保護(hù)人員和財產(chǎn)安全所需的籬笆、燈光、崗哨以及所有其他材料和服務(wù)；d.為材料和施工人員（包括業(yè)主雇員）提供臨時倉庫、辦公室和其他房屋建筑；e.在整個工程移交之前提供、滅火設(shè)備和急救設(shè)備；f.供施工人員使用的衛(wèi)生設(shè)備和食堂。3.承包商應(yīng)遵守當(dāng)?shù)胤梢?guī)定的所安全及其他條例。4.無論何時，承包商都不應(yīng)在業(yè)主的房產(chǎn)及其鄰近建筑物、車道和街道上堆積施工用建筑材料和建筑垃圾，工程完工后，應(yīng)從建筑物及其周圍清除所有用剩的材料，保持工地和工廠安全、整潔，以備使用。Article7-Inspection1.TheContractorshallprovideattheSitetothereasonablesatisfactionoftheOwnerallmaterials,labour,equipment,servicesandfacilitiesthatmaybenecessaryfortheproperexecutionandcompletionoftheWorks.2.Withoutprejudicetothegeneralityoftheabove,theContractorshallprovide,asmaybenecessary,thefollowing:a.Constructionequipment.b.MeansoftransportwithintheSiteincludingtemporaryroadways.c.Fencing,lightingandguardingandallothermaterialsandservicesnecessaryforthesafetyandsecurityofpersonsandproperty.d.Temporarystores,officesandotherbuildingsorstructuresformaterialsandpersonsengagedintheWords,includingpersonsemployedbytheOwner.e.Telephones,fire-fightingequipmentandfirst-aidequipmentuntilthewholeWorkshavebeentakenover.f.SanitaryandcanteenfacilitiesfortheuseofpersonsengagedintheWorks.3.TheContractorshallobserveallsafetyandotherregulationsimposedontheSitebylocallaws.4.TheContractorshallatalltimeskeeptheOwner'spropertyandtheadjoiningpremises,drivewaysandstreetsfreeofconstructionmaterialsandrubbishcausedbytheWorks,andatthecompletionoftheWorksshallremoveallremainingmaterialsfromandaboutthepremisesandshallleavetheSiteandPlantsafe,cleanandreadyforuse.第八條承包商的工作人員1.承包商將自費為其全部工作人員提供飲食、交通及一切必要的便利。2.合同簽署后，承包商應(yīng)指定一名項目經(jīng)理，在工程進(jìn)行過程中全權(quán)代表承包商。他將在工作時間內(nèi)坐鎮(zhèn)施工現(xiàn)場。業(yè)主向項目經(jīng)理發(fā)出的所有指示，如同發(fā)給承包商本人一樣，同樣具有約束力。3.如果業(yè)主認(rèn)為工地上承包商的雇員品行不端、不能勝任工作或有失職行為，可要求承包商將此人調(diào)離或更換。Article8-Inspection1.TheContractorwillsupplyathisowncostfood,transprotandallnecessaryfacilitiesforallhisownpersonnel.2.OnsigningtheContract,theContractorshallappointaprojectmanagerwhowillrepresenttheContractoratalltimesbepresentattheSiteduringworkinghours.AllcommunicationsissuedbytheOwnertotheprojectmanagershallbebindingasifgiventotheContractor.3.TheOwnermayrequesttheremovalandreplacementofanypersonemployedbytheContractorontheSiteifsuchpersonisintheOwner'sopinionguiltyofmisconduct,incompetenceornegligence.第九條責(zé)任1.在工廠被最終驗收之前，承包商應(yīng)對工廠的任何損失或損壞負(fù)責(zé)，并自費將其修復(fù)，直至業(yè)主滿意。然而，如果根據(jù)本合同，這類損壞的責(zé)任不在承包商，而業(yè)主要求予以修復(fù)，承包商應(yīng)按業(yè)主指示辦理，但費用由業(yè)主負(fù)擔(dān)。2.在最后驗收合格證書簽發(fā)之前，凡因承包商或其分包商的疏忽，或設(shè)計、材料或工藝上的缺陷而產(chǎn)生的任何財產(chǎn)損失或人身傷害，承包商應(yīng)向業(yè)主賠償，并保護(hù)業(yè)主免受由此而產(chǎn)生的各種訴訟、索賠、要求或費用支出。3.如果業(yè)主因某種原因遭受索賠或訴訟，而按本條款規(guī)定承包商應(yīng)該或可能對該事由承擔(dān)法律責(zé)任，則業(yè)主應(yīng)立即書面通知承包商。承包商應(yīng)以業(yè)主名義接手并通過談判處理解決或能由此而產(chǎn)生的訴訟，并承擔(dān)一切費用。如承包商要求，業(yè)主應(yīng)向承包商提供承包商為處理此類索賠或訴訟所需要的所有資料和幫助。Article9-Inspection1.TheContractorshallberesponsibleforalllossesofordamagetothePlantbeforefinalacceptance,andshallmakegoodalsuchlossordamageatthecostoftheContractorandtothereasonablesatisfactionoftheOwnerprovided,however,inthecaseoflossordamagetothePlantarisingfromoroccasionedbycausesforwhichtheContractorismotresponsibleundertheContract,thesameshallbemadegoodbytheContractorbutatthecostoftheOwner,iftheOwnersodirects.2.TheContractorshallindemnifytheOwnerinrespectofalldamageandinjuryoccurringbeforetheissueofthefinalacceptancecertificatetoanypropertyandpersonandagainstallactions,suits,claims,demands,chargesandexpensesarisinginconnectiontherewithwhichshallbeoccasionedbythenegligenceoftheContractororanyofhissub-contractorsorbydefectivedesign,materialsorworkmanshipbutnototherwise.3.IntheeventofanyclaimbeingmadeoractionsbroughtagainsttheOwnerarisingoutofanymatterinrespectofwhichtheContractorisormaybeliableunderthisArticle,theOwnershallpromptlynotifytheContractorinwritingthereofandtheContractorshallathisownexpensetakeoverandconductinthenameoftheOwnerallnegotiationsforthesettlementofthesameandanylitigationthatmayarisetherefrom.TheOwnershallattherequestoftheContractoraffordallsuchinformationandassistanceastheContractormayreasonablyrequireforthepurposeofdealingwithanysuchclaimoraction.第十條保險1.在不限制承包商責(zé)任的情況下，承包商將自費投保下列險：a.機器設(shè)備從工廠交貨到目的地的運輸險。b.為承包商和分包商的所的雇員投保雇員賠償險，或者根據(jù)適用的法律和法規(guī)投保類似的法定社會保險。c.防備財產(chǎn)損壞或人身傷害的產(chǎn)品責(zé)任險，期限到維修期結(jié)束，每次事件的金額不少于××美元。d.對承包商或其分包商在執(zhí)行本合同中使用的所有車輛投保綜合汽車責(zé)任險。2.上述保險單應(yīng)以承包商及其分包商、業(yè)主、及其工程師、顧問、雇員、代理人為聯(lián)合投保人。保險單應(yīng)包含保險人放棄對業(yè)主及其工程師、顧問、雇員及代理人的代位權(quán)之條款。3.承包商應(yīng)保持上述保單的完全有效性，直到本合同對其規(guī)定的義務(wù)解除為止。業(yè)主有權(quán)隨時索取保單、背書、續(xù)保和保險費收據(jù)的復(fù)印件。如果承包商未能全面投保，業(yè)主應(yīng)有權(quán)代表承包商辦理上述保險，支付所有相關(guān)保費，并從支付給承包商的款項中扣除有關(guān)費用。Article10-Inspection1.WithoutlimitingtheContractor'sliabilitiestheContractorwillathisownexpensetakeoutthefollowinginsurance:a.TransportationinsuranceonthemachineandequipmentfromitsdeliveryexworkstoarrivalattheSite.b.WorkerscompensationinsuranceforallContractor'sandsubcontractor'semployeesengagedorsimilarstatutorysocialinsuranceinaccordancewiththeapplicablelawsandregulations.c.Productliabilityinsuranceagainstdamagetopropertyorinjurytopersonsuntiltheendofthemaintenanceperiodinthesumnotlessthat(amount)USdollarsperoccurrence.d.ComprehensiveautomobileliabilityinsuranceinrespectofallvehiclesusedbytheContractororhissub-contractorinconnectionwithhisContract.2.TheaforesaidpoliciesofinsurancewillbetakenoutinthenamesoftheContractoranditssub-contractors,theOwner,theirengineer,consultantandemployeesandagentsasthejointinsuredandthepoliciesshallcontainawaiverofinsurer'srightsofsubrogationagainsttheOwner,itsengineer,consultantandemployeesandagents.3.TheContractorshallmaintaintheaforesaidpoliciesinfullforceandeffectuntilthedischargeofhisobligationsunderthisContract,andtheOwnershallhavetherighttodemandfromtimetotimecopiesofthepolicies,endorsementsandrenewalsandreceiptsforpaymentofinsurancepremiums.IftheContractorfailstomaintainanyofthesepoliciesinfullforceandeffect,theOwnershallhavetherighttorakeoutsuchpoliciesandpayallrelativepremiumsonbehalfofthecontractorandtodeducttherelevantcostsfromandsumsowingtotheContractor.第十一條完工1.一俟工廠的全部建設(shè)和安裝工程完工，承包商應(yīng)通知業(yè)主，并根據(jù)附錄×的規(guī)定進(jìn)行機械安裝完成測試工作，直至業(yè)主滿意。2.測試圓滿結(jié)束后，業(yè)主應(yīng)簽發(fā)一份完工證明書。在完工證明書簽發(fā)之前，不得給工廠進(jìn)料。3.如果在建造和安裝中出現(xiàn)不影響完成安裝的小缺陷，或者在測試中測出不影響工廠開工的缺陷，業(yè)主應(yīng)簽發(fā)完工證明書，而承包商則有義務(wù)盡快修復(fù)這些不足之處。Article11-Inspection1.OncompletionofallconstructionanderectionworkofthePlant,theContractorshallinformtheOwnerandshallcarryoutmechanicalerectioncompletiontestsspecifiedinAppendix(…)tothesatisfactionoftheOwner.2.OnsatisfactorycompletionofsuchteststheOwnerwillissueacertificateofcompletionoferectionofthePlant.NofeedstockshallbefedintothePlantuntilacertificateofcompletionoferectionhasbeenissued.3.Intheeventofminordeficienciesintheconstructionanderectionworkwhichdonotpreventerectioncompletionand/orintheeventofdefectsrevealedbythetestswhichdonotpreventthestart-upofthePlant,theOwnershallissueacertificateofcompletionoferectionandtheContractorshallbeobligedtorectifythedeficienciesasquicklyaspossiblethereafter.第十二條最后驗收1.完工證明書頒發(fā)之后，承包商應(yīng)提前××天將工廠性能測試的時間通知業(yè)主。2.為使測試準(zhǔn)時開始，業(yè)主應(yīng)按附錄×中的要求提供原料和其他設(shè)備，而承包商應(yīng)按通知的時間開始性能測試。3.性能測試將按附示×的規(guī)定進(jìn)行。測試成功后，業(yè)主應(yīng)簽發(fā)一份最后驗收證明書，證明工廠已從證書簽發(fā)日起移交業(yè)主。4.如果工廠未能通過性能測試，承包商在進(jìn)行他認(rèn)為必要的調(diào)整之后，應(yīng)在業(yè)主在場的情況下重新進(jìn)行測試，時間由雙方商定，條件照舊。5.在最后驗收合格證書簽發(fā)之前，工廠不得投入商業(yè)性運轉(zhuǎn)。如工廠未能通過性能測試，業(yè)主仍可酌情頒發(fā)最后驗收合格證書，條件是承包商必須盡快糾正工廠存在的問題。Article12-Inspection1.FollowingtheissueofthecertificatesofcompletionoferectiontheContractorshallgivetheOwner(…)daysnoticeofthedatewhenhewillbereadytocarryoutperformancetestsofthePlant.2.TheOwnershallprovidethefeedstockandotherfacilitiesrequiredinAppendix(…)toenabletheteststocommenceontimeandtheContractorshallbegintheperformancetestsatthetimesonotified.3.TheperformancetestswillbecarriedoutinacceptancewiththeprovisionsofAppendix(…)andontheirsuccessfulcompletion,theOwnershallissueafinalacceptancecertificatestatingthatthePlanthasbeentakenoverbytheOwnerasfromthedatethereof.4.IfthePlantfailstopassitsperformancetest,thentheContractor,aftermakingsuchadjustmentsasheconsidersnecessary,shallrepeatsuchtestsinthepresenceoftheOwneratatimetobeagreeduponunderthesametermsandconditionsastheoriginaltests.5.ThePlantshallnotbecommerciallyoperatedbeforetheissueofthefinalacceptancecertificate.NotwithstandingthefailureofthePlanttopassitsperformancetests,theOwnermayathisdiscretionissueafinalacceptancecertificatesubjecttotheContractorremedyingthePlantdefectsassoonaspossible.第十三條違約賠償金1.如果由于承包商的原因?qū)е滦阅軠y試的再次失敗，而雙方并無繼續(xù)重新測試的協(xié)議，則對最后一次測試的結(jié)果進(jìn)行評估。承包商將根據(jù)附錄×的規(guī)定向業(yè)主支付違約賠償費，費率不超過合同價格的××%。2.如果承包商因自身的原因未能在合同生效后的×個月內(nèi)獲得整個工廠的最后驗收合格證書，承包商須根據(jù)附錄×的規(guī)定向業(yè)主每月支付相當(dāng)于合同價格××%的拖延賠償費，但最多不超過合同價格的××%。3.承包商應(yīng)根據(jù)附錄×規(guī)定的格式開立一份以業(yè)主為受益人、金額為合同價格××%的保證書，作為其履行本條款項下義務(wù)的保證。Article13-Inspection1.IntheeventofanyrepeatofaperformancetestfailingforreasonsimputabletotheContractor,andtherebeingnomutualagreementtocontinuere-testing,theresultsofthefinaltestwillbemeasuredandtheContractorwillbeliabletopaytotheOwnerliquidateddamagesonthescalesetoutinAppendix（…）uptoamaximumof（…）%oftheContractPrice.2.IftheContractorisunableforreasonswithinhiscontroltoobtainafinalacceptancecertificateforthewholePlantby（…）monthsfromtheeffectivedateofthisContract,heshallbeliabletopaytotheOwnerforeachmonth'sdelayliquidateddamagesof（…）%oftheContractPriceuptoamaximumof（…）%oftheContractPriceinaccordancewithAppendix（…）.3.TheContractorshallestablish,infavouroftheOwner,aguaranteefor（…）%oftheContractPriceintheformsetoutinAppendix（…）insupportofhisobligationsunderthisArticle.第十四條保修1.承包商保證，在最后驗收合格證書簽發(fā)日起×個月
