英文版能源采購合同合同編號：__________ENERGYPURCHASECONTRACTThisEnergyPurchaseContract(the"Contract")ismadeandenteredintoasof__________(the"EffectiveDate"),andbetween:(Eacha"Party"andcollectivelythe"Parties")RECITALSWHEREAS,theSupplierisengagedinthebusinessofsupplyingenergyproductsandservices;WHEREAS,thePurchaserrequiresthesupplyofenergyproductsandservicesforitsoperations;NOW,THEREFORE,inconsiderationofthemutualcovenantsandagreementscontainedherein,thePartiesagreeasfollows:ARTICLE1:DEFINITIONS1.1.capitalizedtermsusedinthisContractshallhavethemeaningsassignedtotheminthisArticleorasdefinedelsewhereinthisContract,unlessthecontextotherwiserequires.1.3."EnergyProducts"meanstheenergyproductsandservicestobesuppliedtheSuppliertothePurchaserunderthisContract,asspecifiedinScheduleA.1.4."ForceMajeure"meansanyeventorcircumstancebeyondthereasonablecontrolofaParty,whichpreventsordelaystheperformanceofaParty'sobligationsunderthisContract,andwhichisnotduetothefaultornegligenceoftheParty.1.5."Term"meansthetermofthisContractasspecifiedinArticle2.ARTICLE2:TERMANDSCOPEOFAGREEMENT2.2.DuringtheTerm,theSupplieragreestosupplytheEnergyProductstothePurchaserinaccordancewiththetermsandconditionsofthisContract.ARTICLE3:ORDERINGANDDELIVERY3.1.ThePurchasershallsubmitordersfortheEnergyProductstotheSupplierinwriting,specifyingthetype,quantity,deliverydate,andotherrequirementsassetforthinScheduleA.3.3.TheSuppliershallberesponsibleforallshippingandtransportationcostsassociatedwiththedeliveryoftheEnergyProductstothePurchaser'sdesignateddeliverylocation.3.4.TheSuppliershallprovidethePurchaserwithadetailedinvoicefortheEnergyProducts,whichshallinclude,amongotherthings,thetype,quantity,unitprice,totalprice,andanyapplicabletaxesorduties.ARTICLE4:PRICEANDPAYMENTTERMS4.1.ThepricefortheEnergyProductsshallbeasspecifiedinScheduleA.4.2.ThePurchasershallmakepaymentfortheEnergyProductstotheSupplierwithin[InsertPaymentTimeframe]afterthedateoftheinvoiceissuedtheSupplier.4.3.AllpaymentsmadeunderthisContractshallbeintheformofcash,banktransfer,orsuchothermethodasmaybeagreedtheParties.4.4.TheSuppliershallprovidethePurchaserwithareceiptforeachpaymentmadeunderthisContract.ARTICLE5:WARRANTIESANDREPRESENTATIONS5.1.TheSupplierrepresentsandwarrantsthat:(a)Ithasthefulllegalright,power,andauthoritytoenterintothisContractandtoperformitsobligationshereunder;(b)TheEnergyProductssuppliedunderthisContractshallconformtothespecificationsandqualitystandardssetforthinScheduleA;(c)TheEnergyProductssuppliedunderthisContractshallbefreefromanyliens,encumbrances,orthirdpartyclaims;and5.2.ThePurchaserrepresentsandwarrantsthat:(a)Ithasthefulllegalright,power,and一、附件列表：ScheduleA:能源產品規(guī)格和質量標準二、違約行為及認定：遲延交付：如果供應商未能在約定的交付日期之前交付能源產品，將被視為違約。產品質量不符：如果交付的能源產品不符合ScheduleA中規(guī)定的規(guī)格和質量標準，將被視為違約。未能合規(guī)：如果供應商未能遵守applicablelaws,regulations,andindustrystandards，將被視為違約。三、法律名詞及解釋：Affiliate：直接或間接控制、被控制或共同受控制的實體。ForceMajeure：超出一方合理控制范圍的事件或情況，且非該方的過錯或疏忽。EffectiveDate：合同生效日期。Term：合同期限。四、執(zhí)行中遇到的問題及解決辦法：運輸問題：如果發(fā)生運輸問題，雙方應立即溝通，尋找替代運輸方式或重新安排交付時間。支付問題：如果Purchaser未能在規(guī)定時
