4、書(shū)面形式隨時(shí)確定的費(fèi)率和收費(fèi)標(biāo)準(zhǔn)；在簽訂本協(xié) 議時(shí)，則為附錄B詳細(xì)規(guī)定的費(fèi)率和收費(fèi)標(biāo)準(zhǔn)。Warehousing and logistics expense means the rate and charging standard determined by both parties in writi ng at any time duri ng con tract; while sig ning the agreeme nt, it means the rate and charg ing sta ndard detailed in Appe ndix B.倉(cāng)儲(chǔ)與物流服務(wù) 是指附件1中描述的服

5、務(wù)內(nèi)容。Warehous ing and logistics servicesrefer to the services described in Annex 1.倉(cāng)儲(chǔ)與物流服務(wù)條款指由甲方和乙方通過(guò)書(shū)面形式隨時(shí)確定的倉(cāng)儲(chǔ)與物流業(yè)務(wù)標(biāo)準(zhǔn)操作流程；在 本協(xié)議簽訂時(shí)，則為附錄A詳述的倉(cāng)儲(chǔ)與物流業(yè)務(wù)標(biāo)準(zhǔn)操作流程。Con diti ons of Warehous ing and logistics servicesmeans the sta ndard operat ing procedureof warehousing and logistics determined by Party A and

6、Party B in writing at any time; while signing the agreement, it is the standard operating procedure of warehousing and logistics detailed in Appe ndix A.2 委托 Commissio n甲方按本協(xié)議約定委托乙方為其非獨(dú)家倉(cāng)儲(chǔ)代理，為甲方及其書(shū)面指定的相關(guān)單位提供倉(cāng)儲(chǔ)與物流服務(wù)，乙方亦按同樣條件接受甲方委托。Un der this agreeme nt, Party A en trusts Party B as the non-exclusive

7、 age nt of storage to provide warehous ing and logistics services for Party A and the releva nt un its desig nated in writ ing, and Party B accepts the commissi on un der the same con diti ons.3 協(xié)議有效期 Effective Date of Agreeme nt本協(xié)議若無(wú)以下提前終止的情況，有效期從年 月曰至 年 月曰。雙方一致同意可于本協(xié)議正式生效前天左右開(kāi)始試運(yùn)行，試運(yùn)行期間的一切事宜如操作形式，

8、操作標(biāo)準(zhǔn)，費(fèi)用，雙方的權(quán)利義務(wù)等均按本協(xié)議項(xiàng)下除本條外的各條款執(zhí)行。Without the following situation of early termination, the validity period of agreement is fromto. The two parties unanim ously agree to start trial operati ondays before formal enforcement of the agreement, during the trial operation, all matters such as operation f

9、orms, operating standards, costs and expenses, rights and obligations of the two parties, etc., shall be carried out accordi ng to the con diti ons un der this agreeme nt apart from this sect ion.(a) 按第13條(終止條款)終止；或(b) 任何一方提前30天以書(shū)面形式通知另一方終止；或(c) 雙方協(xié)議終止。(a) Termin ated in accorda nee with Article 13

10、(term in ati on clause); or(b) Any party gives 30 day 'adva nee no tice of term in ati on in writ ing to the other party; or(c) The agreeme nt of the two parties is term in ated.4 獨(dú)立承包方 In depe ndent Con tractor乙方為甲方的獨(dú)立承包人，本協(xié)議任何條款或附錄、附件、備忘錄等均不得影響這種關(guān)系或情 況。乙方將按其實(shí)際需求為履行本協(xié)議雇傭其他單位或個(gè)人為其員工或分包商。雙方理解，這樣

11、的單位或個(gè)人僅僅為乙方的員工或分包商，完全由乙方獨(dú)立雇傭、解雇、管理、控制，在任何情 況下均不與甲方構(gòu)成中國(guó)法律所描述的雇傭關(guān)系且這樣的單位或個(gè)人與乙方間的任何糾紛，紛爭(zhēng) 等均不得對(duì)甲方或本協(xié)議的實(shí)施產(chǎn)生任何負(fù)面影響。甲方免予承受任何與此相關(guān)的責(zé)任。乙方必 須在選擇、監(jiān)督這些單位和個(gè)人時(shí)盡合理的謹(jǐn)慎，并對(duì)他們的作為和不作為完全負(fù)責(zé)。Party B is the in depe ndent con tractor of Party A, and the relati on ship or situati on shall not be affected by any article, appe

12、ndix, ann ex, memora ndum and so on. Party B will employ other un its or in dividuals as their employees or subc on tractors based on their actual n eeds for implementation of this agreement. The two parties understand that such units or individuals are only the employees or sub-c on tractors of Par

13、ty B, and can be employed, dismissed, man aged and con trolled by Party B in depe nden tly, and in any case, they have no employme nt relati on ship described in Chinese laws with Party A, and any dispute between such units or individuals with Party B, shall n ot bring n egative impacts to Party A o

14、r to the impleme ntati on of the agreeme nt.Party A is exempted from related liability. Party B must choose and supervise these units and in dividuals with reas on able cauti on, hold fully resp on sible for their acts and omissi ons.乙方必須隨時(shí)按甲方的要求向甲方提供乙方現(xiàn)有分包商的資料。Party B must provide the in formatio n

16、Warehousing Services5.1 倉(cāng)儲(chǔ)與物流服務(wù)的詳細(xì)描述請(qǐng)見(jiàn)附件1。如需擴(kuò)展倉(cāng)儲(chǔ)與物流服務(wù)范圍，雙方可隨時(shí)以書(shū)面形式修改附件1。5.1 Please see Warehousing and logistics services in Annex 1 for detail. For the expansion of warehousing and logistics services range, the two sides may amend Annex 1 in writing at anytime.5.2 乙方應(yīng)按照附錄A規(guī)定的倉(cāng)儲(chǔ)與物流業(yè)務(wù)標(biāo)準(zhǔn)操作流程履行倉(cāng)儲(chǔ)與物流服務(wù)。

17、5.2 Party B shall fulfill the warehousing and logistics services based on the standard operating procedure of warehous ing and logistics stipulated in Appe ndix A.5.3 乙方向甲方承諾，乙方具備符合要求的專(zhuān)業(yè)技術(shù)及人員、設(shè)備，能按照倉(cāng)儲(chǔ)與物流行業(yè)的最高標(biāo)準(zhǔn)和倉(cāng)儲(chǔ)與物流服務(wù)條款 向甲方提供能讓甲方滿(mǎn)意的一流專(zhuān)業(yè)倉(cāng)儲(chǔ)與物流服務(wù)。具體而言包括但不限于：5.3 Party B makes commitme nt to Party A tha

18、t they have professi onal tech no logy, pers onnel and equipme nt with specified requireme nts, and could provide a satisfactory first-class professi onal warehousingand logistics services to Party A according to the highest standards ofwarehous ing and logistics in dustry andcon diti ons of warehou

19、s ing and logistics services.Inparticular, it includes but not limited to:(a) 乙方采用的倉(cāng)儲(chǔ)及裝卸，集裝箱裝箱，上海市內(nèi)貨運(yùn)等的方式符合處理該類(lèi)貨物時(shí)的行業(yè)慣例和附錄A詳述的倉(cāng)儲(chǔ)與物流標(biāo)準(zhǔn)操作流程，二者間取標(biāo)準(zhǔn)較高者為準(zhǔn)。(a) The way of storage and han dli ng, contain ers pack ing, freight in Shan ghai, etc, Party B adopted is in a manner con siste nt with the in dustry

20、 practices of han dli ng such goods, and thestandard operating procedure of warehousing and logistics detailed in Appendix A, the higher sta ndard of them prevails.(b) 乙方應(yīng)對(duì)所有貨物向甲方提供不間斷的報(bào)告，從接收貨物直到貨物正式移交給甲方指定的提貨單位。(b) Party B shall provide continuous reports for all goods to Party A, from the receipt

21、of goods to the formal tran sfer of goods to Party A 'desig nated delivery age nt.(c) 如一旦發(fā)現(xiàn)貨物有損壞，乙方必須盡快采取以下行動(dòng)：(i) 為受損貨物拍照；(ii) 書(shū)面通知甲方；以及(iii) 按照甲方的要求采取適當(dāng)?shù)男袆?dòng)。(c) If the goods are damaged, Party B shall take the followi ng actions:(i) To take photographs for the damage of the goods;(ii) To give wr

22、itte n no tice to Party A; and(iii) To take appropriate action in accordance with the requirements of Party A.6 倉(cāng)儲(chǔ)費(fèi)用 Warehousing Expense6.1 作為提供倉(cāng)儲(chǔ)與物流服務(wù)的報(bào)酬，甲方將按附錄B的約定向乙方支付倉(cāng)儲(chǔ)與物流費(fèi)用。6.1 As the payme nt in retur n for providi ngwarehous ing and logistics services , Party A shall pay thewarehous ing and logistics expe nseto Party B accord ing to the stipulati on in Appe ndix B.6.2 附錄B中列明的上海市內(nèi)運(yùn)輸費(fèi)，倉(cāng)儲(chǔ)租用費(fèi)費(fèi)，集裝箱裝箱費(fèi)，管理費(fèi)用等將從本協(xié)議簽署 之日起生效，此后在協(xié)議有效期內(nèi)固定不變。6.2 The expe nses o
