6、isContract,butICDASshouldinformCONTRACTOR1monthbeforetheenddateofthiscontract.Incaseofsuchextension,ICDASwillbeentitledtoincreaseordecreasethenumberofstaff.ICDAS有權(quán)利再延長(zhǎng)Bekiri#2600MW機(jī)組的合同期6個(gè)月，作為本合同同等機(jī)組價(jià)格和條件的一種選擇，但是ICDAS應(yīng)該于此合同結(jié)束前一個(gè)月通知承包方。如果延期，ICDAS有權(quán)增加或者減少人員數(shù)量。Salary薪酬Thesalarylevel:USD3,man-month(inwo

11、,naturalgasforkitchen,electricity,internet,heatingsystem,andnecessaryroutinemaintenance.2)甲方應(yīng)提供乙方便捷的生活條件，包括，便利的飲用水，淋浴水，廚房設(shè)備和場(chǎng)地，廚房用天然氣，電力，互聯(lián)網(wǎng)，供熱系統(tǒng)及必要的日常維護(hù)。ThevisaapplicationcostinTurkeyshallbetakenbyPartyA,andPartyBshallprovideallthedocumentsofrelevantstaff.土耳其簽證申請(qǐng)費(fèi)用由甲方承擔(dān)，乙方應(yīng)提供相應(yīng)人員的所有相關(guān)文件。Theairticke

12、ttoandfroChina(justoneticketperpersonperoneyear)shallbetakenbyPartyA.往返中國(guó)機(jī)票(每年一次)由甲方承擔(dān)。PartyAshallberesponsibletothetransportationfromtheIstanbulairporttojobsite,andviceversa.甲方應(yīng)負(fù)責(zé)從伊斯坦布爾到達(dá)現(xiàn)場(chǎng)的往返交通。PartyAshallberesponsiblefortax,residentialpermit,workpermit(ifhas)underanytitlesrequiredbythelocalauthor

14、便捷的交通設(shè)施往返于生活區(qū)域和現(xiàn)場(chǎng),以及方便的購(gòu)物和旅行交通工具。ChinesePersonswillwork8hours/day(48hours/week).Ifnecessary,thepersonswillworkovertimeandICDASshallapproveovertimeworkinghours,extrasalary(US$7dollars/hour-person)mustbepaidbyICDASatsiteatnextsalaryday.中國(guó)人員每天工作8小時(shí)(48小時(shí)/周)，如果需要人員加班工作，ICDAS應(yīng)核準(zhǔn)工作時(shí)間，加班薪酬(7美元/每人每小時(shí))，由ICDAS

16、trainingofTurkishoperatorsareincludedinthiscontract.14）土耳其運(yùn)行人員的現(xiàn)場(chǎng)培訓(xùn)也包含在此合同中。ForceMajeure不可抗力aNeitherCONTRACTORnorICDASshallbeliablefordelayorfailureofperformanceunderthiscontractwheresuchfailureordelayiscausedbyForceMajeure,beinganyevent,occurrenceorcircumstancereasonablybeyondcontrolofeitherparty,i

17、ncludingbutnotlimitedtofailureordelaycausedbyorresultingfromActsofGod,strikes,fires,floods,earthquake,landslide,typhoon,cyclone,storm,wars,（whetherdeclaredorundeclared）,riots,delaysofcarriersduetobreakdownimposedbyanygovernmentalauthority（includingallocations,priorities,requisitions,quotas,andpricec

18、ontrols）.a承包商或者ICDAS受不可抗力影響無(wú)法履行合同規(guī)定的義務(wù)或者延遲履行的，任一方對(duì)此不承擔(dān)任何責(zé)任。若發(fā)生超出任何一方合理控制范圍內(nèi)的不可抗力事件、不可抗力發(fā)生以及不可抗力情況，包括但不限于天災(zāi)、罷工、火災(zāi)、水災(zāi)、地震、山體滑坡、臺(tái)風(fēng)、颶風(fēng)、暴風(fēng)雨、戰(zhàn)爭(zhēng)（已宣戰(zhàn)或未宣戰(zhàn)）、暴動(dòng)、因政府當(dāng)局頒布的限制性條款（包括配給、優(yōu)先權(quán)、征用、配額及價(jià)格控制等）導(dǎo)致的運(yùn)輸延誤等造成義務(wù)無(wú)法履行或義務(wù)履行延誤。bIftheCONTRACTORisprevented,hinderedordelayedfromorinperforminganyofitsobligationsundertheCo

19、ntractbyaneventofForceMajeure,thenitshallnotifytheICDASinwritingoftheoccurrenceofsucheventandthecircumstancesthereofwithinfourteen（14）daysaftertheoccurrenceofsuchevent.b如果承包商因不可抗力而被妨礙、阻礙或者延遲履行其在本合同中的任一規(guī)定義務(wù)時(shí)，承包商應(yīng)在不可抗力事件發(fā)生的十四（14）天內(nèi)以書面形式通知ICDAS此類事件和情況的發(fā)生。cTheCONTRACTOsRhallbeexcusedfromtheperformanceor

20、punctualperformanceofitsobligationsundertheContractforsolongastherelevanteventofForceMajeurecontinuesandtotheextentthattheCONTRACTORsperformanceisprevented,hinderedordelayed.Thetimeforcompletionshallbeextendedreasonably.c如果相關(guān)不可抗力事件仍在發(fā)生，而且在一定程度上妨礙、阻礙或者延遲了承包商對(duì)義務(wù)的履行，則應(yīng)予以免除承包商履行本合同中規(guī)定義務(wù)或準(zhǔn)時(shí)履行義務(wù)的責(zé)任。完工時(shí)間應(yīng)適

21、當(dāng)進(jìn)行延長(zhǎng)。dWhileaffectedbytheeventofForceMajeure,theCONTRACTORshallusereasonableeffortstomitigatetheeffectthereofuponitsperformanceoftheContractandshallseekallreasonablealternativemeansforperformancenotpreventedbytheForceMajeureevent.d.當(dāng)受到不可抗力事件影響時(shí)，承包商應(yīng)采用合理措施減少不可抗力事件對(duì)其履行合同義務(wù)的影響，并應(yīng)尋求合理的替代手段履行未受不可抗力影響的義務(wù)。

22、eDelayornon-performanceoftheCONTRACTORheretocausedbytheoccurrenceofanyeventofForceMajeureshallnot:e因發(fā)生的任何不可抗力事件而延遲或者不能履行義務(wù)的承包商，不應(yīng)：ConstituteadefaultorbreachoftheContact;orGiverisetoanyclaimfordamagesoradditionalcostorexpenseoccasionedtherebytotheCONTRACTOR;orCausetheforfeitingofthePerformanceBondand

23、imposetheliquidateddamagetotheCONTRACTOR.構(gòu)成違反或者違背本合同；引起任何需承包商承擔(dān)的賠償損失或者額外費(fèi)用或開(kāi)支造成履約保證書失效，向承包商征收違約賠償金。TaxesandDuties繳稅Alltaxes,customdutiesandotherduesarisinginTurkeyshallbepaidbytheICDAS.在土耳其產(chǎn)生的賦稅，關(guān)稅和其他賦稅將由ICDAS繳納。Arbitration仲裁AlldisputesintheconnectionwiththeexecutionofthisContractshallbesettledthrou

24、ghfriendlynegotiationsbetweenthetwoParties.FailingthefriendlynegotiationdoesnotrelievebothofanyofthepartiesformfulfillingtheContract.InthecaseofbeingunabletosettledisputeseachpartyshallhaverightforarbitrationtoICC(internationalChamberofCommerce)InternationalCourtofArbitrationinaccordancewiththeProvi

25、sionalRulesofProceduresPromulgatedbythesaidArbitrationCommission.TheArbitrationshalltakeplaceinSwitzerlandandSwissmateriallawshallapply.在執(zhí)行本合同時(shí)，所產(chǎn)生的糾紛應(yīng)由雙方友好協(xié)商解決。通過(guò)友好協(xié)商，雙方才能共同完成合同。如果糾紛不能解決，依照仲裁委員會(huì)暫行議事規(guī)程，雙方有權(quán)利向ICC國(guó)際仲裁法院申請(qǐng)仲裁。仲裁在瑞士進(jìn)行，瑞士實(shí)體法適用于仲裁。aTheArbitrationproceedingshallbecarriedoutintheEnglishlangu

26、age.a仲裁過(guò)程將用英語(yǔ)進(jìn)行。bThearbitralawardshallbefinalandbindingonbothParties.b該仲裁裁決為最終裁決，對(duì)雙方均有約束力。cThearbitrationfeeshallbebornebythelosingParty,exceptasotherwisestipulatedinthearbitralaward.c仲裁費(fèi)用由敗訴方承擔(dān)，仲裁裁決中規(guī)定情況除外。Effectiveness,Variation,SuspensionandTerminationoftheContractandMiscellaneous合同的效力、變更、中止、終止及其

27、它TheContractshallbecomeeffectiveandbindinguponthetwopartiesaftercompletionofallthefollowing:在進(jìn)行完以下各項(xiàng)后，此合同將生效并對(duì)雙方具有約束力：aTheContracthasbeendulysignedbytheauthorizedrepresentativesofbothparties;a合同已經(jīng)由雙方授權(quán)代表如期簽署；bTheeffectivedateoftheContractisfromsignature.b合同生效期自簽署日起。cThisContractshallbewritteninEngli

28、shwithfourcopiesforeachPartyholdingtwocopies.c書面合同為英文，一式四份，雙方各持有兩份。dMinutesfromallmeetingsbetweenthetwoParties,writteninEnglishifsignedanddecidedbybothparties,shallbecomeAppendicesandthusintegralpartsoftheContract.AllcommercialandtechnicalcommunicationsbetweenthetwoPartiesshallbeintheEnglishlanguage

29、.Ifinwriting,duplicatewillbeproduced.d對(duì)于雙方參與的會(huì)議，如雙方均有簽署或決策，會(huì)議紀(jì)要應(yīng)為英文版本，并作為附件成為合同的一部分。雙方之間的所有商務(wù)和技術(shù)交流均使用英語(yǔ)，若為書面形式，應(yīng)有復(fù)本。eICDASshallappointoneauthorizedrepresentativetobeinchargeofallcommercialandtechnicalmattersrelatingtotheCONTRACTOR.AnycorrespondencesaddressedtotheICDASrepresentativefromtheCONTRACTORa

30、rerequiredintwocopiesonefortherepresentative,onetotheICDAS.TheICDASshallinformtheCONTRACTORtwoweeksaftertheeffectivedateoftheContractofthenameoftheauthorizedrepresentativeandhispostaladdress.eICDAS將任命一名授權(quán)代表全權(quán)負(fù)責(zé)所有和承包方相關(guān)的商務(wù)及技術(shù)事宜。承包方發(fā)給ICDAS代表的所有往來(lái)函件均需提供復(fù)制兩份，ICDAS和代表各持一份。ICDAS應(yīng)在合同生效日兩周內(nèi)通知承包方被授權(quán)代表的人名及郵寄地

31、址。fWhereforreasonsoccurringintheICDASscountryandnotoftheCONTRACTORsintention,theCONTRACTORispreventedfromcontinuingwiththeContractforaperiod,thetwopartiesshallcornetonegotiationandifnecessarytheICDASmaysuspendtheContract.TheICDASshallbearanyexpensesincurredbytheCONTRACTORduringtheperiodofSuspensiont

32、hataretobeagreeduponbythetwoParties.f如由于ICDAS所在國(guó)家的原因，而非承包方的原因造成承包方無(wú)法繼續(xù)合同，雙方應(yīng)進(jìn)行協(xié)商，如有必要ICDAS會(huì)中止合同。在合同中止期間(需雙方一致同意)，ICDAS將會(huì)承擔(dān)承包方的任何損失。gTheICDASshallhavetherightatanytimeforanyreasontoterminatethewholeorpartoftheContractbygivingwrittennoticetotheCONTRACTORspecifyingtheextentandtheeffectivedateofsuchterm

33、ination.TheICDASwillpaytheCONTRACTORthefollowingamount:gICDAS有權(quán)在任何時(shí)間由于任何原因終止整個(gè)或部分合同，并向承包方給出書面通知具體說(shuō)明合同終結(jié)的范圍及生效日期。ICDAS將會(huì)向承包商支付以下款項(xiàng)：(1)PaymentforallorpartoftheWorksproperlyperformedaccordingtotheContractandtherelevantexpensespriortothedateoftermination.在合同終結(jié)日前按照合同已執(zhí)行的全部或部分工作，其應(yīng)付款項(xiàng)及相關(guān)費(fèi)用。Anyotheractualr

34、easonableandnecessarydirectexpenses,suchasairticket,transportationcost,etc(2)其它實(shí)際發(fā)生的合理且必需的直接費(fèi)用，如機(jī)票、交通費(fèi)用等。hAnycorrespondence,noticeorrequestgivenbyeitherPartytotheotherPartyshallbedeemedtohavebeenofficiallygivenifinwritinganddeliveredpersonally,forwardedbyregisteredorcertifiedairmail,cabled,facsimile

35、dbytelefaxortelexedandaddressedtosuchPartyinaccordancetotheofficialaddress,telephone.Telexandtelefaxhereof,andifconfirmationorreceiptisacknowledgedbythereceivingPartyand/orhisfacilitiesoftheCommunication.h任何一方向另一方發(fā)出的手簽信函、通知或要求，以及接收方及(或)其設(shè)備認(rèn)可的函證或收據(jù)，都應(yīng)通過(guò)書面方式進(jìn)行，并親自遞送，或通過(guò)已登記或具有證明文件的航空郵件，電報(bào)、傳真轉(zhuǎn)送發(fā)往此方的官方地址

36、、電話、電報(bào)及傳真。Alltheamendments,supplementandalterationstothetermsandconditionsoftheContractshallbemadeinwrittenformandsignedbytheauthorizedrepresentativesofthetwoPartiesandshallconstituteanintegralpartoftheContractandhavethesamelegalforceastheContract.合同中所有關(guān)于術(shù)語(yǔ)和條件的修訂、補(bǔ)充、變更都應(yīng)經(jīng)過(guò)書面形式進(jìn)行，并由雙方授權(quán)代表簽字，同時(shí)作為合同的一部

37、分存在，和合同具有同等法律效力。a.TheCONTRACTOhRastherighttoterminatethecontractandtheemployeepersonswillstoptheservicesinpowerplantifICDASdontpaythesalaryandbenefitsstipulatedinthecontract.ThisterminationwillbeinformedbywrittenformtoICDAS10daysbeforetherealaction.ThisactionwillnotinfluencetherightforCONTRACTORtoclaimfurthercompensation.a.如果ICDAS未按照合同支付薪酬及福利，承包方有權(quán)終止合同并停止對(duì)電廠的服務(wù)。合同終止的通知應(yīng)在實(shí)際停止服務(wù)前10天通過(guò)書面形式通知ICDAS此行為不影響承包商索要后期報(bào)酬的權(quán)利。bOnepartyhas
