1、外貿(mào)函電韋成鋒教學目標:掌握報價的構成要件、生效時間、撤回條件和撤銷條件;理解實盤和虛盤的含義;熟練撰寫詢盤、報價、虛盤、還盤、接受函;通過案例領會交易磋商的業(yè)務流程和業(yè)務技巧第二章 交易磋商一、詢價(inquiry)又稱詢盤,是指詢問交易條件的郵件。一般情況下,詢盤由進口商向出口商發(fā)出。詢盤分為具體詢盤和普通詢盤。具體詢盤涉及具體商品名稱、型號、款式、數(shù)量、價格、付款方式、交貨期等交易細節(jié)。普通詢盤只表達交易意向,不涉及采購具體那款商品,也不涉及具體商品數(shù)量。詢盤屬于一般書信,不產(chǎn)生法律效力,即對任何一方都不產(chǎn)生權利或義務。買賣雙方均不受詢盤內(nèi)容約束。1.業(yè)務知識 詢價、報價、還價、接受的概

2、念及其法律效力二、報價(offer) 1. 報價的構成要件報價又叫做要約或?qū)嵄P。報價和實盤是外貿(mào)業(yè)內(nèi)的叫法,要約是法律用語。報價具有嚴格的法定含義。根據(jù)聯(lián)合國銷售合同公約(以下簡稱公約)和中華人民共和國合同法,要約(報價)是希望和他人訂立合同的意思表示。該意思表示必須滿足兩個條件:一是內(nèi)容具體確定,二是表明經(jīng)受要約人承諾(接受),要約人(報價方)即受該意思表示約束。簡言之,報價有兩個構成要件:(一)表明交易條件;(二)有訂立合同意圖。有訂立合同意圖表明在對方接受報價時,報價方即刻受該報價約束。1.關于交易條件:公約規(guī)定,交易條件至少應該包括商品名稱、數(shù)量和價格,否則不構成報價。在實際業(yè)務中,交

3、易條件除了商品名稱、數(shù)量和價格外,還常常包括包裝情況、商品規(guī)格、商品質(zhì)量、交貨期限、付款方式、貿(mào)易術語、運輸方式等內(nèi)容。2.關于訂立合同意圖:下列情形之一,表明報價方有訂立合同意圖:(一)報價函中出現(xiàn)“報價”(offer/quotation)、“實盤”(firm)或“不可撤銷”(irrevocable)字樣的;(二)報價函表明報價有效期的;(三)報價函有其他文字表示,使受報價方有理由認為報價方有訂立合同意圖的;(四)報價方做出某種行為或依據(jù)雙方交易習慣,使受報價方有理由認為報價方有訂立合同意圖的。出口商或進口商都可以向?qū)Ψ桨l(fā)出報價。報價可以采用口頭形式或者書面形式,但外貿(mào)報價一般都采用書面形式

4、。2. 報價的生效、撤回、撤銷與失效(1)生效:報價送達受報價方時生效。(2)撤回:報價在生效之前可以撤回,但撤回通知必須在報價送達受報價方之前或同時送達受報價方,被撤回的報價不生效。報價生效后可以撤銷,但下列報價除外:(一)報價方確定了承諾期限(即報價有效期)或者以其他形式明示報價不可撤銷;(二)受報價方有理由認為報價是不可撤銷的,并已經(jīng)為履行合同作了準備工作。(3)撤銷如要撤銷報價,應向受報價方發(fā)出撤銷通知,且撤銷通知必須在受報價方發(fā)出接受通知(承諾)之前送達受報價方。(4)失效:被撤銷的報價從被撤銷時起失效。有下列情形之一的,報價失效:(一)拒絕報價的通知到達報價人;(二)報價人依法撤銷

5、報價;(三)承諾期限屆滿,受報價人未作出承諾;(四)受報價人對報價的內(nèi)容作出實質(zhì)性變更,如變更價格、數(shù)量、包裝等。3. 還價(Counter-offer)受報價方不接受報價的全部或部分條件,并且提出自己的條件,稱還價。如果還價函符合報價構成要件,則構成報價。還價等同于拒絕接受報價,并且提出新報價(反報價)。還價函送達原報價方時,原報價失效,新報價(即還價)生效。三、 虛盤(Non-Firm Offer)在外貿(mào)實踐中,還有另外一種叫做虛盤的“報價”。所謂虛盤,是指不滿足報價兩大要件的“報價”。例如給對方寄送價目表,產(chǎn)品目錄,只報個價格而沒有數(shù)量等。虛盤不是報價,而是報價邀請,即邀請對方報價。虛盤

6、對報價方?jīng)]有約束力。四、接受(Acceptance)接受又稱承諾或受盤,是指受報價方表明同意接受報價的意思表示。該意思表示由受報價方以接受通知的方式通知報價方。在報價生效期間,接受通知(受盤)送達報價方時,合同成立;報價內(nèi)容即為合同內(nèi)容,從合同成立時起,雙方均受報價內(nèi)容的約束。五、拒絕(Decline/Refusal/Denying)拒絕是指不接受報價,下列情形屬于拒絕:(一)表明拒絕報價全部條件的;(二)表明拒絕報價部分實質(zhì)性條件的,如不接受價格、數(shù)量、裝運期限等;(三)受報價方在報價生效期間不發(fā)出接受通知的。被拒絕的報價從拒絕通知送達報價方時失效。Case1普通詢盤Mark Matthew

7、s是哥本哈根一家紡織品進口商,通過丹麥駐華使館得知Weishan是中國一家著名紡織品制造出口商。Mark Matthews對Weishan生產(chǎn)的純棉床單和枕套感興趣,于是來函詢問,并索取產(chǎn)品目錄和價目表。注明:普通詢盤是指不涉及具體商品款式,不涉及具體交易細節(jié),只表達交易意向的詢盤。主題:Inquiry for All Cotton Bed Sheets and Pillowcases2.案例 Dear Sirs,We learn from the Commercial Counselors Office of our Embassy in your country that you are
