3、寫）三、模具開發(fā)周期及要求/ Work Day & Requirement模具的開發(fā)周期 / Mold Work Day首件樣件完成時(shí)間/ Time of finishing first product of mold：從接到此模具訂單到首件樣品（透明色）完成需要天/days from building time ARO (after receipt of order) to first POM (product of mold)sample pour;2mold confirm以甲方提供產(chǎn)品立體圖樣進(jìn)行開發(fā)（允許公差在+-0.02mm確認(rèn)。 This mold production tole

5、行產(chǎn)品正式下單。Party A agreement Party B production.5）由于模具的開發(fā)周期和質(zhì)量問題造成甲方項(xiàng)目延期, 乙方將賠償甲方的一切損失。 If Party A s projectdelayed due to the work day and the quality of the mold, Party B should compensate Party A for all the losses.四、模具的維護(hù) /Mold Maintenance正常使用壽命內(nèi)的模具在生產(chǎn)過程中發(fā)生的損壞或磨損, 相關(guān)的維修及保養(yǎng)等都由乙方負(fù)責(zé)。If the mold iswith

6、in the normal working life but damaged or worn during the production process, Party B should be responsible for the related repair and maintenance.五、模具費(fèi)用的支付 / Payment Terms因該模具的檢驗(yàn)特殊性，需在完成制作后，印刷吸塑進(jìn)行打樣產(chǎn)品，后續(xù)才可檢驗(yàn)。為了雙方的合作更加通暢，由甲方先支付乙方壹萬元整（ 10000 元）的預(yù)付款，此付款包含模具制作列表中所有費(fèi)用（伍仟伍佰元整），結(jié)余的費(fèi)用在甲方向乙方進(jìn)行產(chǎn)品訂購的吸塑費(fèi)用中抵扣。D

Party Aenjoys the right to taking back and dealing with the mold.七、保密責(zé)任 / Confidentiality未經(jīng)甲方允許，乙方不得將甲方所提供的圖紙及技術(shù)資料以口頭、書面、出示和借用的方式轉(zhuǎn)泄露給第三方。 如有發(fā)生信息泄露 , 甲方有權(quán)追究其法律責(zé)任。 Without the permi

11、ssion of Party A, Party B should not disclose the drawings and technical information which are provided by Party A in oral, written, showingand lending way to the third Party. If Party B revealed such information, Party A has the right to pursue Party B slegal responsibility.當(dāng)雙方履行完該協(xié)議后，乙方必須歸還甲方所提供的用

12、于開發(fā)該模具的所有保密信息及其全部副本（不論其是否是在計(jì)算機(jī)磁盤、光盤讀取器、光盤、硬盤或軟件中或硬拷貝載體上存儲(chǔ)、保存或記錄的）；如果乙方退還上述保密信息及其全部副本為不可行，則應(yīng)將其銷毀，或者從計(jì)算機(jī)或其他電子系統(tǒng)中將其刪除或抹除。 After the Parties fulfill the agreement, Party B should return to Party A all confidential information and all copies of developing the mould thereof whether or not the same are sto

14、nic system.八、其他約定 / Others1) 本協(xié)議受中華人民共和國(guó)的法律法規(guī)管轄，并應(yīng)依照中華人民共和國(guó)的法律法規(guī)解釋。 The agreement shall be governed by, and interpreted in accordance with, the laws and regulations of the People s Republic of China.2)除非雙方采用書面形式，否則對(duì)本協(xié)議的任何修正均屬無效。Any amendments to this agreementshall not be valid unless made by the Pa

16、轄權(quán)的法院進(jìn)行裁決。 All the disputes and controversies of every kind and nature between the Parties arising out of or in connection with the agreement or the execution hereof shall be settled by friendly negotiation between the Parties. If no settlement can be reached within thirty (30) days after delivery o
