ghttorefusetoacceptorreturnbackthegoods.Thatwillbedisposedasnon-delivery.2.IftheSellerdoesn’tdeliverthegoodsasperthestipulatedquantityinthecontract,themissingpartshallbecomplemented.Thecomplementarypartwillbearthebreachoffaithofdelayindelivery.Ifthemissingpartisnolongerneeded,theBuyerholdstherighttorefusetoaccept.Thatwillbedisposedasnon-delivery.3.IfdelayindeliverybytheSeller,1‰valueoftheoverduegoodswillbecompensatedasbreachpenaltyforeachpostponedday.4.IftheSellercannotdeliverthegoods,theyshallreturnthepayment,aswellascompensatethecausedlossduetothiscircs.(二)買方違約責任1.買方中途變更貨物數(shù)量、質量的，應當協(xié)商解決，造成損失的應當予以賠償。2.買方中途廢止合同的，造成損失應當予以賠償。3.買方無理由拒收貨物的，造成損失的應當予以賠償。4.買方遲延付款，每遲延一日，按遲延付款額1‰償付違約金。(II)Buyer’sbreachoffaith1.IfvaryingthequantityandqualityofgoodsbytheBuyerinthemidwaycanbesettledthroughnegotiation.AnylosscomesduetothisconditionwillbecompensatedbytheBuyer.2.IftheBuyerdiscontinuesthecontractinthemidway,thelosscomesduetothisconditionwillbecompensatedbytheBuyer.3.IftheBuyerrefusestoacceptthegoodswithoutreason,anylosscomesduetothisconditionwillbecompensatedbytheBuyer.4.IfdelayinpaymentbytheBuyer,1‰amountoftheoverduepaymentwillbecompensatedasbreachpenaltyforeachpostponedday.第十四條違約金、賠償金等經濟賠償款的支付期限按合同約定，應當償付的違約金、賠償金等經濟賠償款的，在明確責任后10日內付清，否則承擔遲延付款的違約責任。Article14.Termofpaymentofbreachpenaltyandcompensationmoneyetc.othereconomiccompensationpaymentThepayablebreachpenaltyandcompensationmoneyetc.othereconomiccompensationpaymentstipulatedaccordingtothecontractwillbepaidoffwithin10daysaftertheobligationisclear.Otherwisetheliabilitiesforbreachofcontractfordelayinpaymentwillbeborne.第十五條未盡事宜在履行合同過程中，如有未盡事宜，可協(xié)商作出書面補充協(xié)議；如果協(xié)商不成，則按國際條約、協(xié)議、慣例和中國法律執(zhí)行。Article15.UnexhaustedmattersIfthereareanyunexhaustedmattersduringtheimplementationofthecontract,theSellerandtheBuyercanmakethewrittencomplementaryagreementthroughnegotiation.Iffailureonsettledbynegotiation,itshallbecarriedoutaccordingtointernationaltreaty,agreement,traditionandChineselaw.第十六條不可抗力在履行合同期間內，由于不可抗力的原因，不能履行合同，應立即通知對方，并在20日內向對方出具有權機關出具的事故說明書，但視情況可部分或者全部免除違約責任。但應當采取措施盡量減少損失。Article16.Force-MajeureIfsomethinghappensduetoforce-majeureandresultinoneofthepartiescannotcarryoutthecontractduringexecution,thispartyshallinformtheotherpartyimmediately.Buttheaccidentexplanationdocumentwhichissuedbytherelatedcompetentauthoritiesmustbeshowedtotheotherpartywithin20days.Itcanpartlyortotallyrelievetheresponsibilityofbreachoffaithdependsontheinstance.Butsomemeasuresshallbeappliedtoreducethelossatmost.第十七條仲裁在履行合同過程中，凡因執(zhí)行本合同引起的或者與本合同有關的任何爭議，可協(xié)商解決。協(xié)商不成則提交中國國際經濟貿易仲裁委員會，按照申請仲裁時該會現(xiàn)行仲裁規(guī)則進行仲裁，仲裁裁決是終局的，對雙方均有約束力。Article17.ArbitrationAnydisputesarisinginconnectionwiththisSalesContractortheexecutionthereofduringimplementationofthecontractshallbesettledbynegotiation.Incasenosettlementcanbereached,thecaseunderdisputeshallthenbesubmittedtotheChinaInternationalEconomicandTradeArbitrationCommissionforarbitrationaccordingtothecurrentarbitrationruleswhenapplyingforthesame.Thearbitraldecisionisthefinalandbindonbothparties.第十八條法律適用在合同條款中及在執(zhí)行合同中涉及到法律問題，適用于國際條約、慣例和中國法律。Article18.LawapplicationThetermsandconditionsinvolvedlawmattersinthecontractandduringexecutionofthecontractwillbeappliedtointernationaltraditi
