CONFIDENTIALITYAGREEMENT

THISCONFIDENTIALITYAGREEMENT(the"Agreement")ismadeandenteredintothis__________dayof__________,20______,byandbetween__________(the"DisclosingParty"),a__________withitsprincipalplaceofbusinessat__________,and__________(the"ReceivingParty"),a__________withitsprincipalplaceofbusinessat__________.

WHEREAS,theDisclosingPartyandtheReceivingParty(collectively,the"Parties")desiretoenterintoabusinessrelationshipwhichmayinvolvetheexchangeofconfidentialinformation;and

WHEREAS,theDisclosingPartyhasormayhaveproprietaryinformationandtradesecretsthatitdesirestokeepconfidentialandthatitdoesnotwanttobeusedordisclosedbytheReceivingPartyexceptaspermittedunderthetermsofthisAgreement;and

WHEREAS,theReceivingPartymayhaveproprietaryinformationandtradesecretsthatitdesirestokeepconfidentialandthatitdoesnotwanttobeusedordisclosedbytheDisclosingPartyexceptaspermittedunderthetermsofthisAgreement;

NOW,THEREFORE,inconsiderationofthemutualpromisesandcovenantscontainedherein,andforothergoodandvaluableconsideration,thereceiptandsufficiencyofwhichareherebyacknowledged,thePartiesagreeasfollows:

1.Definitions

ForthepurposesofthisAgreement,"ConfidentialInformation"shallmeanallnon-publicinformation,whetheroral,written,orinelectronicform,disclosedbyoronbehalfofaParty(the"DisclosingParty")totheotherParty(the"ReceivingParty"),whichrelatestothebusiness,products,services,research,development,know-how,tradesecrets,orotherproprietaryinformationoftheDisclosingParty.

2.ObligationsoftheReceivingParty

TheReceivingPartyagrees:

a.Toholdinconfidenceandnottodisclose,use,ordisseminateanyConfidentialInformationtoanythirdparty,exceptasexpresslypermittedbythisAgreement.

b.TolimitaccesstotheConfidentialInformationtoitsemployees,agents,consultants,andadvisors(collectively,"Representatives")whohaveaneedtoknowsuchConfidentialInformationforthepurposeofthisAgreement,andwhohaveexecutedconfidentialityagreementswiththeReceivingPartywithtermsnolessrestrictivethanthosecontainedinthisAgreement.

c.TousetheConfidentialInformationsolelyforthepurposeofevaluatingthepotentialbusinessrelationshipbetweenthePartiesandforperformingitsobligationsunderthisAgreement.

d.TotakeallreasonablestepstopreventtheunauthorizeddisclosureoruseoftheConfidentialInformation,including,butnotlimitedto,thosestepssetforthinSection3below.

3.ProtectionofConfidentialInformation

TheReceivingPartyshall:

a.Implementandmaintainappropriatephysical,technical,andadministrativesafeguardstoprotecttheConfidentialInformationfromunauthorizedaccess,use,ordisclosure.

b.PromptlynotifytheDisclosingPartyinwritingofanyactualorsuspectedunauthorizeddisclosureoruseoftheConfidentialInformationandcooperatewiththeDisclosingPartyinanylegalactiontakeninresponsetosuchunauthorizeddisclosureoruse.

c.ReturnordestroyallcopiesoftheConfidentialInformationinitspossessionorcontrolupontheearlierof(i)theterminationofthisAgreementor(ii)therequestoftheDisclosingParty.

4.Exceptions

TheobligationsoftheReceivingPartyunderthisAgreementshallnotapplytoanyConfidentialInformationthat:

a.WasknowntotheReceivingPartypriortoitsdisclosurebytheDisclosingPartyandwasnotsubjecttoapriorobligationofconfidentiality.

b.IsorbecomespubliclyknownthroughnofaultoftheReceivingParty.

c.IsindependentlydevelopedbytheReceivingPartywithoutuseoforreferencetotheConfidentialInformation.

d.IsrightfullyobtainedbytheReceivingPartyfromathirdpartywithoutabreachofsuchthirdparty'sobligationsofconfidentiality.

e.IsapprovedforreleaseinwritingbytheDisclosingParty.

5.TermandTermination

ThisAgreementshallremainineffectforaperiodof__________yearsfromtheEffectiveDate,unlessearlierterminatedbywrittenagreementoftheParties.UponterminationofthisAgreement,theReceivingPartyshallpromptlyreturnordestroyallConfidentialInformationinitspossessionorcontrol.

6.GoverningLaw

ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsofthe__________withoutgivingeffecttoanyprinciplesofconflictsoflaw.

7.EntireAgreement

ThisAgreementconstitutestheentireagreementbetweenthePartieswithrespecttothesubjectmatterhereofandsupersedesallpriorandcontemporaneousagreements,understandings,andcommunications,whetheroralorwritten.
