11、r service.12.裝運(yùn)條款： FOB賣(mài)方應(yīng)在合同規(guī)定的裝運(yùn)日期前30天，以電報(bào)/電傳/傳真通知買(mǎi)方合同號(hào)、品名、數(shù)量、金額、包裝件、毛重、尺碼和裝運(yùn)港可裝日期，以便買(mǎi)方安排租船/訂艙。裝運(yùn)船只按期到達(dá)裝運(yùn)港后，如賣(mài)方不能按時(shí)裝船，發(fā)生的空船費(fèi)或滯期費(fèi)由賣(mài)方負(fù)擔(dān)。在貨物超過(guò)船舷并脫離吊鉤以前一切費(fèi)用和風(fēng)險(xiǎn)由賣(mài)方負(fù)擔(dān)。如買(mǎi)方所訂船只逾期到達(dá)，買(mǎi)方承擔(dān)貨物在港口超期存放所產(chǎn)生的費(fèi)用和風(fēng)險(xiǎn)。The sellers shall , 30 days before the shipme nt date specified in the con tract advise the buyers by C

19、he buyers shall have the goods rein spected by In specti on Authority after the goods arrival at the dest in ati on.16.索賠Claims:如經(jīng)檢驗(yàn)機(jī)構(gòu)復(fù)檢，發(fā)現(xiàn)貨物有損壞、殘缺或品名、 規(guī)格、數(shù)量和質(zhì)量與本合同和質(zhì)量保證書(shū)之規(guī)定不符，買(mǎi)方可于貨到目的港后天內(nèi)憑上述檢驗(yàn)機(jī)構(gòu)出具的證明書(shū)向賣(mài)方要求索賠。如上述規(guī)定之索賠期與質(zhì)量保證期不一致，在質(zhì)量保證期限內(nèi)買(mǎi)方仍可向賣(mài)方就質(zhì)量保證條款之內(nèi)容向賣(mài)方提出索賠。The buyers shall lodge claims aga inst

In case the claim period above specified is not in conformitywith the quality guarantee period, during the qualityguarantee period, the buyers have rights to lodge claims against the sellers concerning the quality guara ntee.17 .延期交貨違約金Late delivery and pen alty除雙方認(rèn)可的不可抗

22、力因素外，賣(mài)方遲于合同規(guī)定的期限交貨，如買(mǎi)方同意遲延交貨，賣(mài)方應(yīng)同意對(duì)信用證有關(guān)條款進(jìn)行個(gè)性和同意銀行在議付貨款時(shí)扣除本條規(guī)定的違約金。違約金總值不超過(guò)貨物總價(jià)值的5%差率按7天0.5%計(jì)算，不滿(mǎn)7天仍按7天計(jì)算。在未采用信用證支付的情況下，賣(mài)方應(yīng)將前述方法計(jì)算的違約金即付買(mǎi)方。If the sellers fail to make delivery on time as stipulated in the con tract,with excepti on of Force Majeure, the buyers shall agree to postp one the delivery o

23、n conditions that the sellers agree to amendthe clauses of the L/C and pay a penalty which shall be deducted by the paying bank from the payment under negotiation. Thepen alty , however , shall not exceed 5% of the total value of the goods . The rateof penalty is charged at 0.5%for every seven days

In case , the payme nt is not made through L/C , the sellers shall pay the pen alty coun ted as above to the buyers as soon as possible.18 人力不可抗拒：如因人力不可抗拒的原因造成本合同全部或部分不能履約，賣(mài) 方概不負(fù)責(zé)，但賣(mài)方應(yīng)將上述發(fā)生的情況和時(shí)通知買(mǎi)方。Force Majeure : The sellers shall not hold any resp on sibility for partia
