委托設(shè)計開發(fā)服務(wù)協(xié)議中英文

1、委托設(shè)計研發(fā)協(xié)議 甲方* 集團 （以下簡稱“ EEG”） 與乙方*nc. （以下簡稱“ SF”） 就在此合同第一段所述的業(yè)務(wù)達成委托協(xié)議，該業(yè)務(wù)具體包括 “AAA 和 BBB ”品牌的服裝的生產(chǎn)、加工和銷售，以及該品牌服裝 裝飾和任何相關(guān)的配飾。“AAA 和 BBB ”是由 EEG 在中國市場經(jīng)營。 根據(jù)本協(xié)議，當(dāng)事人雙方同意通過增進雙方的知名度和商業(yè)信譽在中 國市場上推廣 AAA 和 BBB 品牌，從而達到共贏的目的。 1. 委托雇傭范圍 為了能夠使 EEG 順利運作， EEG應(yīng)當(dāng)將以下的業(yè)務(wù)委托給 SF，SF 同意接受此委托并忠誠地履行相關(guān)義務(wù)； 1）服裝設(shè)計 （i ） 按如下設(shè)計產(chǎn)品（于

2、第一季度生產(chǎn)成品） 70 種樣式的上衣和褲子（ 35 種為 AAA ，35 種為 BBB） （ii） 針對新消費者（ 35-50歲）為 AAA 和 BBB 設(shè)計品 牌標(biāo)志 2）任何與以上業(yè)務(wù)相關(guān)的業(yè)務(wù) 2業(yè)務(wù)移交 為了上述條款中的業(yè)務(wù)的順利完成， SF 應(yīng)當(dāng)按照以下內(nèi)容行事。 原則上每季度應(yīng)帶 AAA 和 BBB 設(shè)計組到往中國三次 第一次會見：針對概念和季度的顏色 第二次會見：針對設(shè)計 第三次會見：針對樣品核查 第一次會見：原則上，設(shè)計指導(dǎo) Ms. Matsumura將與 參加會見。 第二、第三次會見： 將參加會見。 3款項，付款日期和付款方式 1）EEG 應(yīng)當(dāng)就委托業(yè)務(wù)支付以下的委托費用。

3、 年度委托費： 45，000，000YEN（AAA 和 BBB ） 以上數(shù)值是扣除 EEG 在中國匯款給 SF 所應(yīng)繳納的預(yù)提所得稅 （如果有）后的凈數(shù)值。若要繳納預(yù)提所得稅，則年度委托費將自動 增加從而使扣除所繳稅后的凈數(shù)值等同于以上數(shù)值。 支付方式：年度委托費將被分為 12 次支付， EEG 應(yīng)當(dāng)在每 月最后的銀行工作日將款項支付給 SF。EEG 將承擔(dān)每次付款所涉及 的其他費用。首次支付將于 2000年 1月21日起。 2） 原則上， EEG 應(yīng)當(dāng)負(fù)責(zé) SF 所有的開銷和安排，例如與本委托 協(xié)議相關(guān)的差旅費。 若SF提前支付了此費用， EEG應(yīng)在 SF理 算后要求時償還實際的費用。 并且

4、，EEG 在安排航班和住宿時， 將根據(jù)相應(yīng)的級別安排； 當(dāng)事人雙方明確出發(fā)地或者是日本東京或者是意大利米蘭，這 取決于參加在此第二段所述會晤的成員的所在地。 為 Ms. Matsumura 提供的航班：商務(wù)倉 酒店：四星或以上質(zhì) 量 為SF 設(shè)計組 設(shè)計師提供的航班：經(jīng)濟倉，可調(diào)換時間。酒 店：四星或以上質(zhì)量 4. 協(xié)議有效期 本協(xié)議有效期為兩（ 2）年，自 2000年1月21日起至 2001年 12月 30 日止。 有效期將自動延續(xù)兩（ 2）年，除非一方當(dāng)事人在本協(xié)議有效期 滿前至少三（ 3）個月通知對方當(dāng)事人不再延續(xù)協(xié)議。本條件同 樣適用于之后的期限。 本協(xié)議的有效期將延續(xù)以上時間， 若協(xié)

5、議的履行應(yīng)為國家政策規(guī) 定、動亂、戰(zhàn)爭、自然災(zāi)害、罷工、火災(zāi)以及其他當(dāng)事人不可抗 力的原因而中止。 5. 保密義務(wù) 1） EEG 和 SF 作為執(zhí)行者將謹(jǐn)慎處理任何所有另一方提供或披 露的信息（包括由獲取方所得到的信息產(chǎn)生的次級信息） （以下 簡稱“機密信息”），并且，未經(jīng)披露方書面同意，獲取方不得將 機密信息披露或泄露給第三方， 也不得基于以下目的適用機密信 息 2）EEG應(yīng)當(dāng)保證不將受委托的設(shè)計組為以下品牌提供設(shè)計的事 實公開。 3) 在沒有對方當(dāng)事人同意的情況下， EEG 和 SF 都不得利用任 何由本協(xié)議而建立的私人關(guān)系，除非是為了履行本協(xié)議。 6.協(xié)商 若雙方當(dāng)事人因本協(xié)議中未涉及的

6、事項發(fā)生爭議， 或因?qū)Ρ緟f(xié) 議的條款的解釋發(fā)生爭議，雙方應(yīng)通過協(xié)商解決爭議。 7.適用的法律、語言和爭議管轄權(quán) 本協(xié)議將受日本法律管轄。日語是本協(xié)議的原本和官方語言， 出現(xiàn)任何有關(guān)語言問題的爭議， 以日語為標(biāo)準(zhǔn)。 雙方當(dāng)事人同意 東京地方法院將對任何相關(guān)的第一審訴訟以及其他與合同相關(guān) 的訴訟有專屬管轄權(quán)。 雙方當(dāng)事人就此簽訂協(xié)議的原件復(fù)印件達成協(xié)議，協(xié)議原件 EEG和 SF雙方各保留一份。 Business Entrustment Agreement * Group. ( hereinafter called EEG”)“an* Inc. (hereinafter called“SF”) en

7、ter into the agreement for entrustment of the business described in this Paragraph 1 of this agreement regarding manufacturing, development, and the sales of clothes, a clothing ornament, ornaments of dress, and any furnished accessories of the AA“A 和 BBB ” brand with which EEG conducts in a CHINA m

Under this agreement, both parties agree to promote AAA 和 BBB business in a CHINA market through maintaining, improving both parties prestigious position and business credit so as to develop the mutual prosperity. 1. Scope of Commission In order to contribute to smooth enterprise management o

9、f EEG , EEG shall entrust to SF the business described below, and SF agrees to accept such entrustment and to accomplish its obligations in sincerity; ) Wear Design (i) Designs of products as follow (Productized in 1 season) Tops and Pants 70 patterns (35 patterns forAAAand 35 patterns forBBB) (ii)

10、proposition of brand image of AAA 和 BBB towards new customers ( Age35 50)s ) Any business that relates to the above. 2. Performance of Consignment SF shall conduct for the accomplishment of the business in the preceding clause as follows. To visit CHINA three times a season in principle for the meet

11、ing with AAA 和 BBB design team First Meeting ： For concept, Season Color Second Meeting ： For design Third Meeting ： For sample check *First Meeting ： Creative Director, Ms. Matsumura shall attend the meeting with in principle. *Second, Third Meeting: shall attend the meeting. 3. Fee Amount, Due Dat

12、e and Method of Payment 1) In consideration, EEG shall pay SF the following consignment fee of the commissioned business. Annual Commission Fee ： 45,000,000 YEN (AAA 和 BBB) The above amount is the net amount after deducting the withholding tax (if any) imposed in CHINA when remitting to SF from EEG.

13、 When the withholding tax is imposed, the annual commission fee is automatically increased so that the net amount after the deduction of the withholding tax becomes equal to the amount of the above. Payment Method ：annual commission fees shall be divided by twelve and EEG shall pay to SF until the e

14、nd of the bank business day of every month. EEG shall bear the service charge at every payment. The first payment starts from Jan 21th, 2000. 2) In principle, EEG shall be responsible for any expenses and arrangements incurred by SF such as SF s travel expenses which are related to this entrustment

15、agreement. Also, if SF pays in advance, EEG shall reimburse to SF the amount of actual expenses based on the claim of SF at the later adjustment. Also, when EEG arranges the airplane tickets and lodging, the rank will be as followed; Both parties understand the departure cities are either Tokyo in J

16、apan or Milan in Italy depending upon the location of members attending the meeting described in Paragraph 2 hereof. For Ms. Matsumura Airplane ticket: business class Hotel: 4 star and higher quality For designers of Airplane tickets ： economic class flexible dates which allows to change date. Hotel

Period of agreement The term of this agreement shall be for two (2) years commencing on Jan 21 th, 2000 and ending on Dec 30th, 2001. 2) The term shall be automatically renewed for another two (2) years, unless either party notifies the other party in writing at least

18、three (3) months prior to the expiration of this agreement of its intention not to renew this agreement. The same shall apply for subsequent periods. 3) The term of this agreement shall be extended for such amount of time as the event that the performance of the Agreement is disrupted by government

19、ordinance, riot, war, natural disaster, strike, fire or other causes beyond the reasonable control of the parties. 5. Confidentiality Obligation ) as a good admini 1) EEG and SF shall manage cautiously any and all information (including secondary information derived from information received and pro

20、cessed by the receiving party) which is provided or disclosed by the other party (hereinafter the“ Confidential Information and shall not disclose or divulge the Confidential Information to any third party without written consent of the disclosing party, nor use for any purposes other than for the p

21、urposes contemplated hereunder 2) EEG shall promise not to make it public the fact that the design teams who are entrusted the design consignment have provided own designs to the following brands. ) Without any consents of the other party, neither EEG nor SF shall use any personal relationships established through this agreement except for performing its obligations under this agreement. 6. Consultation If any dispute arise between the parties hereto with respect to matters not provided for in this agreement or with respects to interpretation of the prov
